Administrative Services Fee. The Trust shall pay to the Company in immediately available funds, on or before the 60th day following each calendar quarter, an administrative services fee of $50,000 (the “Administrative Services Fee”). In the event that this Agreement is terminated during a calendar quarter pursuant to Section 5.01, the amount of the Administrative Services Fee for such calendar quarter shall be based upon the pro rata portion of the Administrative Services Fee that shall have accrued during such quarter up to and including the date of termination of this Agreement. In addition to the Administrative Services Fee, the Trust shall reimburse the Company on or before the 60th day following each calendar quarter for all reasonable and necessary External Expenses associated with the provision of Services in the preceding quarter as set forth in a reasonably detailed invoice provided by the Company to the Trust on or before the 50th day following each calendar quarter, but only to the extent that the Company certifies to the Trustee that the Company was unable to perform the Services in the ordinary course of its business for which it incurred the External Expenses.

Administrative Services Fee. For the provision of the Administrative Services, the Company shall pay to the Manager a maximum annual fee of $72,000, payable in monthly installments of $6,000 at the beginning of each month (the “Administrative Services Fee”), subject to the appropriate downward adjustment for any reduction in the Administrative Services provided.
Administrative Services Fee. As compensation for the provision by GP LLC of the GP LLC Services to the PAGP Entities, GP LLC shall be entitled to receive, and AAP agrees to pay to GP LLC, without duplication, $1.5 million annually (the “Administrative Services Fee”). Following the first anniversary of this Agreement, the Administrative Services Fee shall be increased or decreased annually by the percentage increase or decrease, as applicable, in the Consumer Price Index — All Urban Consumers, U.S. City Average, Not Seasonally Adjusted for the applicable year (the “CPI Index”). In making such adjustment, the Administrative Services Fee shall be increased or decreased, as applicable, commencing on January 1, 2015 and continuing on each January 1 thereafter, by the CPI Index for the prior year (or longer in the case of the first adjustment on January 1, 2015) based on the most recent information available from the U.S. Department of Labor and similarly increased or decreased, as applicable, on each subsequent January 1 by the CPI Index for the prior year period. In the event that the PAGP Entities make any acquisitions of assets or businesses or the business of the PAGP Entities otherwise changes following the Effective Date or the PAGP Entities become subject to new or modified laws, regulations, listing requirements or accounting rules that, in any case, impact the nature and/or scope of the GP LLC Services, then the Administrative Services Fee shall be appropriately increased or decreased to account for adjustments in the nature and/or scope of the GP LLC Services. The Administrative Services Fee shall be in addition to any reimbursement for direct expenses of the PAGP Entities as provided in Section 2.2(b).
Administrative Services Fee. The Administrative Services Fee shall be payable in quarterly installments on the last day of the applicable fiscal quarter, without invoice, beginning on the last day of the first fiscal quarter of PAGP ending after the date of this Agreement (prorated to account for any partial quarterly period).
Administrative Services Fee. (a) In consideration of the Services provided by MassMutual as described in Section 1 of this Agreement and Appendix A, GALIC, AILIC and MNLIC will collectively pay to MassMutual an annual administrative and support services fee, which will be prorated for any period less than a full year during which this Agreement is in effect (“Fee”). (b) The parties further agree that: (i) the Fee for the Services will be fair and reasonable; (ii) expenses incurred and payment received will be allocated on an equitable basis in conformity with customary insurance accounting practices consistently applied; and (iii) the books, accounts and records of the parties will be so maintained as to clearly and accurately disclose the nature and details of the Services and the Fee, including such accounting information as is necessary to support the reasonableness of the Fee. (c) Upon request by GALIC, AILIC or MNLIC, MassMutual will, within thirty (30) days after the expiration of each calendar year during which this Agreement is in effect, furnish the management of GALIC, AILIC or MNLIC, as applicable, with a written statement of amounts received and expended pursuant to this Agreement, in such detail and with such supporting documentation as the management of GALIC, AILIC or MNLIC may reasonably require. On or before February 28 of each year, the parties will adjust all costs and expenses allocated between them for the preceding calendar year, and any payment in accordance with such final adjustment will thereupon be made by the appropriate party to the other. (d) Unless otherwise agreed to by the parties, the Fee will be paid quarterly. The Fee will be paid in United States dollars and may be made by electronic transfer or such other means, as agreed upon by the parties. Administrative Services Fee. XXX agrees to pay to Xxxxxxxx an administrative services fee equal to 5% of all net provincial operating and special purpose grants, excepting those grants associated with maintaining bilingualism at DUC. The administrative services fee charge may be changed at any time through mutual agreement. This fee will be deducted from regular provincial grant payments payable to Carleton as a result of the affiliation agreement between Xxxxxxxx and XXX. Xxxxxxxx will provide DUC with a regular accounting of any such deductions.
Administrative Services Fee. Employer shall pay to BlueCross the following administrative services fee during the Term of this Agreement: $4.00 per month per Subscriber, as that term is defined in the Plan.
