Agreement Conditional. This Agreement and the transaction arising therefrom are conditional upon compliance with the provisions of the Planning Act of Ontario, and amendments thereto at the Vendor’s expense.
Agreement Conditional. Except for this clause this Agreement shall not become binding unless and until the Manager receives written notice from the Company that the Company has received and accepted applications for subscription to a minimum of 25,000,000 ordinary shares of $0.20 each in the capital of the Company.
Agreement Conditional. The Parties agree that this Agreement shall be conditional on Distributor attending at DPT’s manufacturing facilities where the Product is manufactured, to satisfy itself that the manufacturer and the manufacturing facilities are adequate. This inspection shall occur on a date to be agreed to by the Parties, but not later then January 30, 2004. Within five (5) Business Days of such inspection, Bayer shall be required to inform Auxilium in writing of its findings. In the event that Bayer gives Auxilium notice that the manufacturing site is suitable, the date that such notice is received by Auxilium shall be the Effective Date. In the event that Bayer, acting reasonably, finds the manufacturing site to be unacceptable, the Parties shall meet to determine how to proceed. In the event that;
(i) both Parties agree in writing that Bayer’s issues with the manufacture of the Product cannot be resolved, or
(ii) the issues with the manufacture of Product have not been resolved by February 27, 2004, This Agreement shall not become effective and will automatically terminate, without liability to either Party as a result of such termination.
Agreement Conditional. The parties agree that this Agreement shall become effective immediately upon approval and execution hereof by the parties' respective Governing Bodies and the filing of the Agreement with the Parties' respective keeper of records.

Agreement Conditional. This Agreement is subject to final Board approval, as well as final regulatory approval.
Agreement Conditional. This Agreement and the transfers and assignments provided for by it are conditional upon the consent of the Minister being given to this Agreement and to those transfers and assignments, pursuant to the Crown Minerals Acx 0000.
Agreement Conditional. 2.1 Notwithstanding any provision to the contrary, this Agreement is conditional upon Xxxxxx obtaining, upon terms and conditions acceptable to it (in its absolute discretion), all necessary internal (Council, Academic Board) and external approvals pertinent to the Contractor’s supply of the Services within a timeframe acceptable to Xxxxxx. Except for Clause 1 (Definitions and Construction), this Clause 2, Clause 3 (Duration), Clause 4 (Planning Approval, Land Acquisition and Highway Costs), Clause 5 (Funding Agreements, Other Agreements and Financial Model), Clause 10.8 (Drop Dead Dates), Clause 11.3 (Continuing Development), Clause 14 (The Site), Clause 16.1.2 (Variations), Clause 18.1 (Planning) save where otherwise indicated, Clause 19.1.3 (CDM Regulations), Clause 48 (Notices), Clause 52 (Confidentiality), Clause 56 (Whole Agreement) and Clause 66 (Governing Law and Jurisdiction), the obligations of the Parties hereunder shall be conditional upon the occurrence of the Effective Date.
