Alternative Disposal Site. If, due to Contractor’s negligence, gross negligence, or willful misconduct, (1) the operations and services required under this Agreement cannot be provided at the Landfill, or (2) the Landfill becomes inadequate or unavailable to provide the services required under this Agreement, Contractor shall provide an Alternative Disposal Site for Xxxxxxxxxx County and appropriate users of the Landfill; provided, however, that this provision is not intended to, and does not, extend the term of this Agreement. Except as otherwise expressly provided under this Agreement, Contractor shall provide an Alternative Disposal Site at no additional cost to County, Xxxxxxxxxx County citizens, or existing contract users of the Landfill. Alternative Disposal Site. If Contractor, or its Approved Processor, elects to use a Disposal Site(s) that is different than the Designated Disposal Site, it shall request written approval from the County sixty (60) calendar days prior to use of the site and obtain the County’s written approval no later than ten (10) calendar days prior to use of the site. If Contractor, or its Approved Processor, is unable to use the Approved Disposal Site due to an emergency or sudden unforeseen closure of the Approved Disposal Site, Contractor, or its Approved Processor, may use an alternative Disposal Site provided that (i) the Contractor provides verbal and written notice to the County within twenty-four (24) hours of use of an alternative Disposal Site, and (ii) the alternative Processing Site is fully permitted and in compliance with all Applicable Laws. The written notice shall include a description of the reasons the Approved Disposal Site is not feasible and the period of time Contractor, or its Approved Processor, proposes to use the alternative Disposal Site. Contractor shall use the alternative Disposal Site for no more than twenty-four (24) hours without obtaining County’s written approval.

  • FUND TRANSFER FACILITIES VIA TBS The Account Holder may apply, in accordance with the Bank’s prescribed procedure then prevailing and the Bank may, in its reasonable discretion, permit the Account Holder to operate such fund transfer facilities via the TBS, including without limitation, GIRO or direct debit banking system as may be made available by the Bank from time to time.
