Amount of EDRBs. Developer has previously submitted an application for EDRB financing to the City in an aggregate amount not to exceed $240,000,000 for the entire Amended Project, which EDRB financing would provide an exemption for sales taxes on construction materials. A copy of Developer's original application is attached hereto as Exhibit T-1R-1. It is the City's present intention to issue EDRBs in multiple series within each Phase based upon the build out of the Amended Project as described in the principal amount of the costs of the Improvements for Phase 1 of the Project and an additional amount for the subsequent costs of the Improvements for Phase 2, and any other improvements described in Article II as components of the Projectin Article II. On January 28, 2019 the City approved Resolution No. 4496 declaring the City's intent to issue EDRBs in an amount not to exceed $90,000,000 for a portion of the Improvements for Phase 1 . Developer has subsequently submitted (i) a revised EDRB application for Phase 1 of the Project (for the purpose of obtaining a sales tax exemption for construction materials, equipment and labor as described in Section 7.01 herein), a copy of which application is hereby attached as Exhibit T-2, and (ii) a separate EDRB application for the Arena and Multi-Sport Complex (for the purpose of obtaining a sales tax exemption and abatement of ad valorem property taxes as described in Section 7.04 below), a copy of which application is hereby attached at Exhibit T-3. The City will advance a resolution of intent for of the Project, and on July 22, 2019, the City approved Resolution No. 4496,A to amend the prior resolution to an amount not to exceed $54,500,000 for Phase 1 Improvements and a 49,500,000. This resolution of intent has now expired. Developer now intends to submit an application for EDRB financing to the City in an aggregate amount not to exceed $265,000,000 for the entire Amended Project, which EDRB financing would provide an exemption for sales taxes on construction materials, and requesting an extension of the resolution of intent for Phase 1 of the Project in an amount not to exceed $83,500,000 for the Arena and Multi-Sport Complex, which resolutions of intent will be advanced to the Governing Body for consideration on July 22, 2019, which may be approved by the Governing Body in its discretion49,500,000.   • Reimbursement of Eligible Costs To be eligible for reimbursement, the Engineer's costs must (1) be incurred in accordance with the terms of a valid work authorization; (2) be in accordance with Attachment E, Fee Schedule; and (3) comply with cost principles set forth at 48 CFR Part 31, Federal Acquisition Regulation (FAR 31). Satisfactory progress of work shall be maintained as a condition of payment.

  • Penal Amount of Bonds, State Law The Contractor acknowledges and agrees that, pursuant to O.C.G.A. §§13-10-2, 13-10-20, 13-10-40 and 13-10-60, the performance bond and the payment bond must be in a penal amount equal to at least 100% of the Contract Sum. Accordingly, the Contractor warrants and agrees that, for any Change Order increasing the Contract Sum by five percent or more or when the total cost of the work has increased by five percent or more, it shall obtain a written amendment to the payment bond and the performance bond increasing the penal amounts of both bonds to 100% of the Contract Sum, effective as of the date of the Change Order. The premium increase, if any, may be properly included in the cost of the Change Order. The Design Professional shall approve no payment for the work provided by the Change Order until the Contractor has provided the written amendment to the Owner.

  • Outstanding Amount The Issuing and Paying Agent shall, upon request from the Issuer, the Trustee, the Guarantor or any Dealer, inform such person of the aggregate nominal amount of Notes, or Notes of any particular Series, then outstanding at the time of such request. In the case of Notes represented by an NGN, the nominal amount of Notes represented by such NGN shall be the aggregate amount from time to time entered in the records of both Euroclear and Clearstream, Luxembourg. The records of Euroclear and Clearstream, Luxembourg shall be conclusive evidence of the nominal amount of Notes represented by the relevant NGN and for such purposes, a statement issued by Euroclear or Clearstream, Luxembourg stating the nominal amount of Notes represented by the relevant NGN at any time shall be conclusive evidence of the records of the relevant clearing systems at that time. Payments made by the Issuer in respect of Notes represented by an NGN shall discharge the Issuer’s obligations in respect thereof. Any failure to make the entries in the records of the relevant clearing systems shall not affect such discharge.
