ANTI-BRIBERY AND MODERN SLAVERY. 24.1. The Supplier shall: (a) comply with all Applicable Laws and sanctions relating to anti-bribery and anti- corruption, including the Bribery Act 2010 (“Relevant Requirements”); (b) promptly report to the Client any request or demand for any undue financial or other advantage of any kind received by the Supplier in connection with the performance of this Agreement. 24.2. The Supplier shall procure that any person associated with the Supplier, who is performing services in connection with this Agreement, adheres to terms equivalent to those imposed on the Supplier in this Clause 24 (“Relevant Terms”). The Supplier shall be responsible for the observance and performance by such persons of the Relevant Terms, and shall be directly liable to the Client for any breach by such persons of any of the Relevant Terms. 24.3. For the purpose of this Clause 24, the meaning of adequate procedures and foreign public official and whether a person is associated with another person shall be determined in accordance with section 7(2) of the Bribery Act 2010 (and any guidance issued under section 9 of that Act), section 6(5) and (6) of that Act and section 8 of that Act respectively. For the purposes of this Clause 24 a person associated with the Supplier includes any subcontractor of the Supplier. 24.4. In performing its obligations under this Agreement, the Supplier shall: (a) comply with all applicable anti-slavery and human trafficking laws, statutes, regulations from time to time in force the Modern Slavery Act 2015; and (b) not engage in any activity, practice or conduct that would constitute an offence under sections 1, 2 or 4, of the Modern Slavery Act 2015 if such activity, practice or conduct were carried out in the UK.

ANTI-BRIBERY AND MODERN SLAVERY. Both Parties shall: 16.1.1 comply with all Applicable Laws relating to anti-bribery and anti-corruption including but not limited to the Xxxxxxx Xxx 0000 (“Relevant Requirements”); 16.1.2 not engage in any activity, practice or conduct which would constitute an offence under sections 1, 2 or 6 of the Xxxxxxx Xxx 0000 if such activity, practice or conduct had been carried out in the UK; 16.1.3 have and shall maintain in place throughout the term of this agreement its own policies and procedures, including but not limited to adequate procedures under the Xxxxxxx Xxx 0000, to ensure compliance with the Relevant Requirements and Clause 16.1.2 and will enforce them where appropriate; 16.1.4 promptly report to the other Party any request or demand for any undue financial or other advantage of any kind received by that Party in connection with the performance of this agreement. Breach of this Clause 16 shall be deemed a material breach under Clause 12. For the purpose of this Clause 16, the meaning of adequate procedures and foreign public official and whether a person is associated with another person shall be determined in accordance with section 7(2) of the Xxxxxxx Xxx 0000 (and any guidance issued under section 9 of that Act), sections 6(5) and 6(6) of that Act and section 8 of that Act respectively. For the purposes of this Clause 16 a person associated with CSI includes but is not limited to any Personnel, supplier or sub-contractor of CSI. In performing its obligations under this agreement, CSI shall: 16.4.1 maintain throughout the term of this agreement its own policies and procedures to ensure its compliance with all applicable anti-slavery and human trafficking laws and regulations enacted from time to time, including (but not limited to) the Modern Slavery Xxx 0000 (“Anti-Slavery Legislation”); 16.4.2 not engage in any activity, practice or conduct that would constitute an offence under Anti-Slavery Legislation if such activity, practice or conduct were carried out in the UK; and 16.4.3 require that each of its Personnel, suppliers and sub-contractors in relation to this agreement shall comply with Anti-Slavery Legislation. ANTI-BRIBERY AND MODERN SLAVERY. 11.1 For the purposes of this clause 11 the expressions 'adequate procedures' and 'associated with' shall be construed in accordance with the Bribery Act 2010 and legislation or guidance published under it. 11.2 Each party shall comply with applicable Bribery Laws including ensuring that it has in place adequate procedures to prevent bribery and ensure that: 11.2.1 all of that party’s personnel; 11.2.2 all others associated with that party; and 11.2.3 all of that party’s subcontractors; involved in performing the Services so comply. 11.3 The Supplier undertakes that: 11.3.1 neither the Supplier nor any of its officers, employees, agents or subcontractors has: a) committed an offence under the Modern Slavery Act 2015 (an MSA Offence); or b) been notified that it is subject to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; or c) is aware if any circumstances within its supply chain that could give rise to an investigation relating to an alleged MSA Offence or prosecution under the Modern Slavery Act 2015; and 11.3.2 it shall comply with the Modern Slavery Act 2015. 11.4 Any breach of this clause 11 by the Supplier shall be deemed a material breach of the Agreement and shall entitle the Customer to terminate the Agreement in accordance with clause 9.1.

Each Party shall be responsible for the observance and performance by such persons of the Relevant Terms, and shall be directly liable to the other Party for any breach by such persons of any of the Relevant Terms. 14.3 Breach of this Clause 14 shall entitle the non-breaching Party to terminate this Agreement with immediate effect on notice. 14.4 For the purpose of this Clause 14, the meaning of adequate procedures and foreign public official and whether a person is associated with another person shall be determined in accordance with section 7(2) of the Xxxxxxx Xxx 0000 (and any guidance issued under section 9 of that Act), sections 6(5) and 6(6) of that Act and section 8 of that Act respectively. ANTI-BRIBERY AND MODERN SLAVERY. 9.1 Each party (including all of their directors, executive officers, agents, and employees) agree to fully comply with all applicable laws regarding its performance hereunder and should either party learn of or suspect that a transaction prohibited by law or regulation has occurred, such party will immediately notify the other in writing.
