Application Distribution. Verity grants to Licensee a nonexclusive ------------------------ and nontransferable right to use, market, reproduce and distribute the Run-Time Software solely as an embedded component of the Application and only in the Territory. Licensee's right to distribute the Application is limited to those persons who sublicense the Application for their own business or personal use ("End Users") and those persons who sublicense the Application for redistribution to End Users ("Resellers"). To help assure quality, the Application may only be licensed for use on the Platforms.

Application Distribution. If the Order Form indicates “Royalty-Free” you may distribute Applications that use the Software as a runtime component without owing additional fees to us provided the Software is not licensed to you on a Trial or Non-Commercial basis and the Application(s): (i) contain no modifications to the Software (including alterations to the original proprietary notices); and (ii) are in compiled, executable form; (iii) do not provide substantially the same functionality as the Software or have as one of their purposes to build other software that would compete with the Software; (iv) do not reproduce or distribute any portion of the Documentation or document the Application in a manner that identifies the programmatic interface to the callable routines in the Software; (v) are not a software development application that is sold primarily to software developers or system integrators, or a development environment of any kind; and (vi) are subject to a license agreement that limits Application end-users use of the Software to a run-time component, restricts the Application end-user from changing, altering or modifying the Software, creating derivative works, translations, reverse assembling, reverse compiling, disassembling, or in any way reverse engineering the Software, and prevents the Application end- user from sublicensing, renting, distributing, leasing or otherwise transferring or assigning any portion of the Software. For clarity, you may not distribute the Software as a runtime component of your Application(s) without explicit permission from us either as set forth herein or in the Order Form.
Application Distribution. Once all applications have been verified, the Office of the City Clerk will copy and provide said applications to the Board of Directors, along with a form listing the available positions on each committee, and a fact sheet outlining the purpose of each committee in which applicants have applied. During this review period, the City Clerk, or his designee, shall also provide the applications to the various department heads who serve as staff liaison to the various committees. The City Clerk, or his designee shall forward all staff liaison comments, including the attendance record of any committee members seeking reappointment, to the Board of Directors for consideration in the appointment process.

Licensee acknowledges that Licensee has no right to use, or sublicense others to use, the Software of any dial-up, remote access, interactive or other on-line service unless specifically authorized in an amendment to this Agreement executed by Verity. The foregoing sentence is not intended to restrict Licensee's End Users from accessing the Collections via remote network.

  • Liquidation Distribution Distributions made upon dissolution of the Partnership shall be made as provided in Section 9.03.

  • Liquidation Distributions All property and all cash in excess of that required to discharge liabilities as provided in Section 12.4(b) shall be distributed to the Partners in accordance with, and to the extent of, the positive balances in their respective Capital Accounts, as determined after taking into account all Capital Account adjustments (other than those made by reason of distributions pursuant to this Section 12.4(c)) for the taxable year of the Partnership during which the liquidation of the Partnership occurs (with such date of occurrence being determined pursuant to Treasury Regulation Section 1.704-1(b)(2)(ii)(g)), and such distribution shall be made by the end of such taxable year (or, if later, within 90 days after said date of such occurrence).

  • Waiver of Liquidation Distributions In connection with the Securities purchased pursuant to this Agreement, the Subscriber hereby waives any and all right, title, interest or claim of any kind in or to any distributions of the amounts in the Trust Account with respect to the Securities, whether (i) in connection with the exercise of redemption rights if the Company consummates the Business Combination, (ii) in connection with any tender offer conducted by the Company prior to a Business Combination, (iii) upon the Company’s redemption of shares of Common Stock sold in the Company’s IPO upon the Company’s failure to timely complete the Business Combination or (iv) in connection with a stockholder vote to approve an amendment to the Company’s amended and restated certificate of incorporation (A) to modify the substance or timing of the Company’s obligation to redeem 100% of the Company’s public shares if the Company does not timely complete the Business Combination or (B) with respect to any other provision relating to stockholders’ rights or pre-Business Combination activity. In the event the Subscriber purchases shares of Common Stock in the IPO or in the aftermarket, any additional shares so purchased shall be eligible to receive the redemption value of such shares of Common Stock upon the same terms offered to all other purchasers of Common Stock in the IPO in the event the Company fails to consummate the Business Combination.

  • Certain Distributions If the Company elects to:

  • Waiver of Liquidation Distributions; Redemption Rights In connection with the Shares purchased pursuant to this Agreement, the Subscriber hereby waives any and all right, title, interest or claim of any kind in or to any distributions by the Company from the trust account which will be established for the benefit of the Company’s public stockholders and into which substantially all of the proceeds of the IPO will be deposited (the “Trust Account”), in the event of a liquidation of the Company upon the Company’s failure to timely complete an initial business combination. For purposes of clarity, in the event the Subscriber purchases Shares in the IPO or in the aftermarket, any additional Shares so purchased shall be eligible to receive any liquidating distributions by the Company. However, in no event will the Subscriber have the right to redeem any Shares into funds held in the Trust Account upon the successful completion of an initial business combination.

  • Application of Cash At Lender's option, Lender may apply any cash, whether included in the Collateral or received as Income and Proceeds or through liquidation, sale, or retirement, of the Collateral, to the satisfaction of the Indebtedness or such portion thereof as Lender shall choose, whether or not matured.
