Appointment of Distributors. Atagençer may appoint distributors for Product and Other Agreed Upon Technologies in the Territory on an arms-length basis. Atagençer may also serve as a distributor of Product and Other Agreed Upon Technologies, either directly or indirectly in the Territory, provided that the total compensation to Atagençer for all services it renders to the Corporation as Sales Manager does not aggregate more than seven and a half percent (7.5%) of Net Sales.
Appointment of Distributors. Subject to MTI's fulfillment of its obligations under Section 4(a) of this Agreement, Vertomed will (a) assume management of those existing distributors of MTI which the Review Committee has determined will not be immediately terminated and (b) appoint local distributors to market and promote the Products in the countries within the Distributor Territory not served by an existing distributor of MTI determined by the Review Committee. MTI will participate in and have veto power with respect to the selection of such distributors.
Appointment of Distributors. Distributor may exercise its marketing, distribution and selling rights under this Agreement both directly and through its Affiliates, distributors and resellers.
Appointment of Distributors. Each Party shall have the right, in its sole discretion, to appoint its Affiliates, and each Party and its Affiliates shall have the right, in their sole discretion, to appoint any other Persons, to distribute, market and sell the Products (with or without packaging rights) in circumstances where the Person purchases its requirements of Products from such Party or its Affiliates but does not otherwise make any royalty or other payment to such Party with respect to its IP Protection Rights. In the event that a Party or its Affiliates so appoint a Person and such Person is not an Affiliate of such Party, that Person shall be a “Distributor” for purposes of this Agreement. The term “packaging rights” in this Clause 18.13 shall mean the right for the Distributor to package Products supplied in unpackaged bulk form into individual ready for sale packs.
Appointment of Distributors. Licensee may appoint subdistributors to assist Licensee in exploiting the distribution rights granted to it hereunder, and shall provide IMNET with notice of the appointment of such subdistributors upon their appointment. Any such subdistributor shall be required to abide by the provisions of Articles 2.3, 2.4 and 8 hereof, and Licensee and such subdistributor must acknowledge in writing that IMNET has the right to enforce such provisions directly against such subdistributor.
Appointment of Distributors. The Trust hereby appoints each of the Distributors as its agent to act as a principal underwriter and distributor of Shares of the Funds during the term of this Agreement, and each Distributor accepts such appointment, on the terms set forth in this Agreement and subject to the terms of the Plan. Notwithstanding the foregoing, Seneca Distributors shall have no obligations under this Agreement and shall not be authorized to effect any sales of Shares until such time as it shall have become registered as a broker-dealer under the Securities Exchange Act of 1934, as amended (the "Exchange Act") and the California Corporate Securities Law of 1968, as amended, and shall have become a member of the NASD with full power and authority to perform the obligations of a Distributor hereunder.
Appointment of Distributors. NTI may appoint distributors for Products relating to the Polymer Recycling Technology and any Other Agreed Upon Technologies in the Territory on an arms-length basis. NTI may also serve as a distributor of Products relating to the Polymer Recycling Technology and any and Other Agreed Upon Technologies, either directly or indirectly in the Territory, provided that the total compensation to NTI for all services it renders to the Company as Sales Manager does not aggregate more than ten percent (10%) of Net Sales.
Appointment of Distributors. CMG may appoint distributors for Product and Other Agreed Upon Technologies in the Territory on an arms-length basis. CMG may also serve as a distributor of Product and Other Agreed Upon Technologies, either directly or indirectly in the Territory, provided that the total compensation to CMG for all services it renders to the Corporation as Sales Manager does not aggregate more than 10% of Net Sales. It is agreed between the parties that Sembcorp Technologies Pte. Ltd. shall be appointed as a distributor of TIANJIN ZERUST in the Territory on the same terms extended to any other similar distributor in the Territory.
Appointment of Distributors. The Management Company under intimation to the Trustee shall from time to time at its own expense and responsibility appoint, remove or replace one or more Distributor(s) for carrying out the Distribution Functions at one or more locations, on terms and conditions to be incorporated in the distribution agreement to be entered into between the Distributor(s) and the Management Company. Provided that the Management Company may also itself act as a Distributor for carrying on Distribution Functions. The Distributors shall receive applications for issue and redemption of investment in the various Unit Trusts and Administrative Plans offered by the Management Company.
Appointment of Distributors. The Management Company, shall from time to time under intimation to the Trustee appoint, remove or replace one or more suitable persons, entities or parties as Distributor(s) for carrying on Distribution Function(s) at one or more location(s) locally or internationally. The Management Company may also itself act as a Distributor for carrying on Distribution Functions and updated list of distributors would be available on official website of the Management Company. The Management Company shall ensure, where it delegates the Distribution Function, that:
(a) the Distributors to whom it delegates, have acquired registration with the Mutual Funds Association of Pakistan (MUFAP) as registered service providers and are abiding by the code of conduct prescribed by the Association; and
(b) the written contract with the Distributors clearly states the terms and conditions for avoidance of frauds and sales based upon misleading information.
