Appointment of Manager as Manager of the Stadium Facility. Manager shall, during the Term of this Agreement, subject to temporary closures for alterations and other work, restoration following casualty or condemnation and other reasons beyond Manager’s control, continuously manage and operate a multi-sport complex in the Stadium Facility throughout each Season of the Term in accordance with the terms of this Article 8, including without limitation, that Manager shall be open for business and the Stadium Facility shall (a) be fully staffed as consistent with the management and operations of a typical minor league or other semi-professional baseball team playing professional baseball and including the operation of concession stands and other facilities and amenities typically found in professional minor league or other semi-professional baseball stadiums from time to time; (b) include a ticket office (c) have professional baseball games played during the Season and otherwise manage and operate such business during such period with diligence, in accordance with the standards that Manager operated the Stadium Facility over the period of its prior occupancy, (d) operate as a member of the American Association of Independent Professional Baseball or other baseball league of equal or better quality (the "League")"); (d) operate as a member of the League or other baseball league substantially equivalent to the League as currently existing (such covenant being herein called "Manager's Operating Covenant").

  • Appointment of Manager Owner hereby engages and retains Manager as the manager and as tenant coordinating agent of the Properties, and Manager hereby accepts such appointment on the terms and conditions hereinafter set forth; it being understood that this Management Agreement shall cause Manager to be, at law, Owner’s agent upon the terms contained herein.

  • Appointment of Key Sub-Contractors The Supplier shall ensure that all Sub-Contracts contain a provision: requiring the Supplier to pay any undisputed sums which are due from it to the Sub-Contractor within a specified period not exceeding thirty (30) days from the receipt of a valid invoice; requiring that any invoices submitted by a Sub-Contractor shall be considered and verified by the Supplier in a timely fashion and that undue delay in doing so shall not be sufficient justification for failing to regard an invoice as valid and undisputed; requiring the Sub-Contractor to include in any Sub-Contract which it in turn awards suitable provisions to impose, as between the parties to that Sub-Contract, requirements to the same effect as those required by sub-clauses 5.17.1 and 5.17.2 directly above; and conferring a right to the Customer to publish the Supplier’s compliance with its obligation to pay undisputed invoices within the specified payment period. The Supplier shall pay any undisputed sums which are due from it to a Sub-Contractor within thirty (30) days from the receipt of a valid invoice. Any invoices submitted by a Sub-Contractor to the Supplier shall be considered and verified by the Supplier in a timely fashion. Undue delay in doing so shall not be sufficient justification for the Supplier failing to regard an invoice as valid and undisputed. Notwithstanding any provision of Clauses 9.2 (Confidentiality) and 13 (Publicity, Media and Official Enquiries) if the Supplier notifies the Customer that the Supplier has failed to pay an undisputed Sub-Contractor’s invoice within thirty (30) days of receipt, or the Customer otherwise discovers the same, the Customer shall be entitled to publish the details of the late or non-payment (including on Government websites and in the press).

  • FUNCTIONS OF MANAGEMENT 4.01 The Union agrees that the Employer has the exclusive right and power to manage its business to direct the working forces and to suspend, discharge or discipline employees for just and sufficient cause, to hire, promote, demote, transfer or lay-off employees, to establish and maintain reasonable rules and regulations covering the operation of the stores, provided however, that any exercise of these rights and powers in conflict with any of the provisions of this Agreement shall be subject to the provisions of the Grievance Procedure as set out herein.
