APPROVAL OF COURT. If this property is an asset of any estate, trust or guardianship that requires court approval for sale, this contract shall be subject to Court approval. If necessary, the appropriate fiduciary shall proceed promptly and diligently to bring the matter on for hearing for Court approval. (In that event, the Court Officer's Deed shall be used.)

APPROVAL OF COURT. If the Property is an asset of an estate, trust or conservatorship, this Agreement is contingent upon Court approval unless Court approval is not required under Iowa law and title standards of the Iowa State Bar Association. If the sale of the Property is subject to Court approval, the fiduciary shall promptly submit this Agreement for such approval. If this Agreement is not so approved by either party may declare this Agreement null and void, and all payments made hereunder shall be made to BUYERS.

APPROVAL OF COURT. (i) As soon as reasonably practicable after filing the voluntary petitions discussed in Section 2(g) above, the Targets shall serve and file a motion seeking the approval of the Bankruptcy Court for the sale of the Acquired Assets as contemplated by the Agreement free and clear of any liens, claims and encumbrances authorized pursuant to 11 U.S.C. Sections 363(f) and 105(a). Such approval shall be obtained after the Targets have provided notice to (A) all the Targets' respective creditors and equity security holders (excluding contingent warranty claimants) and (B) Buyer in accordance with Bankruptcy Rules 2002(a), (c), 6004, 9006 and 9008 and any applicable local bankruptcy rules, providing for such limited notice as the Bankruptcy Court may order. Such notice of hearing shall be in a form and substance satisfactory to the Bankruptcy Court and to Buyer and shall be published at least once in a publication satisfactory to Buyer; (ii) each of the Targets shall provide to the Bankruptcy Court any and all information required to obtain such approval in a timely manner; (iii) each of the Targets shall make adequate disclosures to (A) the Bankruptcy Court and (B) the Targets' respective creditors and equity security holders of any contemplated transactions relating to the sale of the Acquired Assets involving insiders of any of the Targets within the meaning of Bankruptcy Code Section 101, regardless of whether such transactions are included in the sale of the Acquired Assets.
APPROVAL OF COURT. In accordance with the provisions of Article Five of the Plan of Arrangement, this Amendment Agreement will be filed with the Court and application for the Final Order will be made to the Court for the approval of the Plan of Arrangement as amended hereby.
