Arbitration and Legal Fees. In the event of any dispute regarding a refusal or failure by the Company to make payments or provide benefits hereunder for any reason, Executive shall have the right, in addition to all other rights and remedies provided by law, to arbitration of such dispute under the rules of the American Arbitration Asso-ciation, which right shall be invoked by serving upon the Company a notice to arbitrate, stating the place of arbi-tration, within ninety (90) days of receipt of notice in any form (including, without limitation, failure by the Company to respond to a notice from Executive within thirty (30) days) that the Company is withholding or proposes to withhold any payments or the provision of any benefits the Executive, in good faith, believes are called for hereunder. In the event of any such dis-pute, whether or not Executive exercises his right to arbitration, if it shall ultimately be determined that the Company's refusal or failure to make payments or provide benefits hereunder was wrongful or otherwise inconsistent with the terms of this Agreement, the Company shall indemni-fy and hold harmless Executive from and against any and all expenses incurred in connection with such determination, including reasonable legal and other fees and expenses. Without limitation of or by the foregoing, the Company shall, within ten (10) days after notice from Executive, provide Executive with an irrevocable letter of credit in the amount of $100,000 from a bank satisfactory to Executive against which Executive may draw to pay legal fees and other fees and expenses in connection with any attempt by Executive to enforce any of his rights under this Agreement during the Extended Term. Said letter of credit shall not expire before ten (10) years following the date of this Agreement.

In the event aNetworks breaches this Agreement or aNetworks and Client have other disputes needing 3rd party resolution, aNetworks and Client agree to try to resolve these breaches or disputes first by amicable negotiation for a period of 60 days, then through binding arbitration, pursuant to the rules of the American Arbitration Association. Such arbitration shall take place in Plymouth County, Massachusetts. aNetworks will hold client responsible for all reasonable arbitration, legal fees, and expenses.

In the event of any such dispute, whether or not Adkins exercises his right to xxxxxxation, if it shall ultimately be determined that the Company's refusal or failure to make payments or provide benefits hereunder was wrongful or otherwise inconsistent with the terms of this Agreement, the Company shall indemnify and hold harmless Adkins from and against anx xxx all expenses incurred in connection with such determination, including legal and other fees and expenses.
Arbitration and Legal Fees. All disputes arising out of or in connection with this agreement, or in respect of any legal relationship associated with or derived from this agreement, shall be finally resolved by arbitration pursuant to the National Arbitration Rules of the ADR Institute of Canada, Inc. [the Simplified Arbitration Rules of the ADR Institute of Canada, Inc.]. The place of arbitration shall be [specify City and Province of Canada]. Arbitration and Legal Fees. (a) Any dispute or controversy arising under or in connection with this Agreement shall be settled exclusively by arbitration, conducted before a panel of three (3) arbitrators in Phoenix, Arizona in accordance with the rules of the American Arbitration Association then in effect. The decision of the arbitrators shall be final and binding on the parties, and judgment may be entered on the arbitrators' award in any court having jurisdiction. The costs and expenses including, but not limited to, legal fees of such arbitration shall be borne in accordance with the determination of the arbitrators. The amounts, if any, determined by the arbitrators to be owed by either party to the other shall be paid within five (5) days after the decision by the arbitrators is rendered.
(b) All papers, documents, briefs, written communication, testimony and transcripts, as well as any and all arbitration decisions, shall be confidential and not disclosed to anyone other than the arbitrators, the parties or the parties' attorneys and expert witnesses (where applicable to their testimony) except that upon prior written consent of all parties, such information may be disclosed to additional third parties. All third parties shall agree in writing to keep such information confidential.
