Assignment Restriction. No party hereto may assign or transfer this Agreement or any right hereunder without the prior written consent of the other party; provided, however, Grant may assign certain of its rights and obligations to an Affiliate of Grant provided that no assignment shall relieve Grant from its obligations hereunder.

Assignment Restriction. This Contract shall not be assigned by either Party, other than to an affiliate, subsidiary, or parent company, without the written consent of the other Party, which shall not be unreasonably delayed, withheld or conditioned. Either Party’s consent to one or more assignments shall not relieve the other Party or its assignees, as the case may be, from the necessity of obtaining the written consent to other or additional, or both, assignments.

If MATC desires to appoint an NPD (non-profit designee of MATC) to perform certain of MATC duties hereunder, MATC shall provide written notice of such to RACM, City, LLC and JCP, and such notice shall identify: the NPD, contact information for the NPD (including contact person, NPD address, and phone and email of NPD contact person); the MATC duty that the NPD will perform; and whether NPD appointment will impact the Approved Budget. Consent of JCP, LLC, RACM and City to appointment of an NPD is required, but shall not be unreasonably withheld, conditioned, or delayed. RACM, City, LLC and JCP agree to act promptly in responding to any such request for appointment.

Assignment Restriction. This license is provided personally to you and for that reason it does not allow you to make any duplicate (copy) to be sold, borrowed, assigned, leased or transferred in any manner whatsoever to another person. Any transfer executed in violation of this provision shall be deemed invalid and constitute a reason for termination of your license validity.
Assignment Restriction. (1) This Agreement, and the rights and obligations of Licensee shall not be pledged, mortgaged, assigned, sub-licensed or otherwise transferred or disposed of, including by operation of law, in whole or in part, by Licensee except as expressly set out in this Agreement, or as consented to in writing by Alcatel. (2) A transfer in whole of Licensee's rights described herein, may be made only in conjunction with a transfer of the entire Licensed System. Licensee shall provide notice to Alcatel of Licensee's intent to make such a transfer, and such notice shall include, at a minimum, the identity of the recipient, the new location of the Licensed System, and a detailed report of the new configuration and interconnection of the Licensed System. Any such transfer shall be subject to the agreement of the transferee to assume the obligations of Licensee and other restrictions contained in this Agreement. In the event that Alcatel determines that the use of the Software and Licensed System after the intended transfer is not supportable by Alcatel, or is not comparable to the originally licensed use, Alcatel shall provide Notice to Licensee that all of its obligations to Licensee are void after said transfer and do not pass to transferee.
Assignment Restriction. REP is prohibited from assigning any right under the Transaction Documents unless the proposed assignee executes and delivers to the SMP Parties (i) a ratification of the Transaction Documents (in a form acceptable to the SMP Parties), that specifically provide that the proposed assignee on its own behalf makes the representations of the type provided in Section 4.3, (ii) a release of the SMP Parties identical in form to the release provided by REP in this Agreement, and (iii) an indemnity agreement in favor of the SMP Parties identical in form to the indemnity provided by REP in this Agreement. REP is prohibited prior to December 14, 2009 from assigning any Purchased Property unless the proposed assignee executes and delivers to the SMP Parties (i) a ratification of the Transaction Documents (in a form acceptable to the SMP Parties), that specifically provide that the proposed assignee on its own behalf makes the representations of the type provided in Section 4.3, (ii) a release of the SMP Parties identical in form to the release provided by REP in this Agreement, and (iii) an indemnity agreement in favor of the SMP Parties identical in form to the indemnity provided by REP in this Agreement. Any transfer in absence of such consent shall be null and void and shall result in the automatic termination of the assigning party’s, its successors and assigns then exercising rights under the Transaction Documents. This section shall be applicable to any approved Assignee of REP. The approved Assignee’s right to assign will be restricted in the same manner as provided herein with respect to REP.
