Assistance and Coordination. Company will (i) cause EDS to install a physical connection from ARS to the Data Center and provide information with respect thereto reasonably necessary to enable GT to use the connection; (ii) facilitate GT's access to ARS and reasonably available personnel who can assist GT in understanding ARS so that GT can develop the code required to communicate with ARS, (iii) perhaps install dedicated lease lines if required between Company and the Data Center for updating Frequent Flyer information as set forth in the SOW, and (iv) provide such other items and assistance as may be reasonably necessary to enable GT to implement the Private Label Site, as expressly set forth in the SOW (as defined in Section 3.2 below). If after no less than twenty one (21) days after the anticipated installation date discussed in Section 3.2, such physical connection is not installed, or if GT is unable to obtain the specified assistance from Company for a period of twenty-one (21) consecutive days, and GT has used its diligent, good faith efforts to have such connection or lines installed or obtain such access or assistance, and GT has kept Company continuously informed regarding its inability to do so, GT will have the right to terminate this Agreement without penalty and with no cause of action against Company. In the event of any such termination, GT shall refund to Company 75%, 50%, or 25% of the License Fee paid by Company if the termination occurs in the first, second, or third month respectively during the term of this Agreement.

Assistance and Coordination. In car- rying out the program of methane hydrate re- search and development authorized by this sec- tion, the Secretary may a ard grants or con- tracts to, or enter into cooperative agreements ith, institutions of higher education and in- (A) conduct basic and applied research to identify, explore, assess, and develop methane hydrate as a source of energy; (B) assist in developing technologies required for efficient and environmentally sound devel- opment of methane hydrate resources; (C) undertake research programs to provide safe means of transport and storage of methane produced from methane hydrates; (D) promote education and training in meth- ane hydrate resource research and resource de- velopment; (E) conduct basic and applied research to as- sess and mitigate the environmental impacts of hydrate degassing (including both natural degassing and degassing associated ith com- mercial development); (F) develop technologies to reduce the risks of drilling through methane hydrates; and (G) conduct exploratory drilling in support of the activities authorized by this paragraph.
Assistance and Coordination. In carrying out the program of methane hy- drate research and development authorized by this section, the Secretary may award grants to, or enter into contracts or cooperative agreements with, institutions of higher edu- cation, oceanographic institutions, and indus- trial enterprises to— (A) conduct basic and applied research to identify, explore, assess, and develop meth- ane hydrate as a commercially viable source of energy; (B) identify methane hydrate resources through remote sensing; (C) acquire and reprocess seismic data suitable for characterizing methane hydrate accumulations; (D) assist in developing technologies re- quired for efficient and environmentally sound development of methane hydrate re- sources; (E) promote education and training in methane hydrate resource research and re- source development through fellowships or other means for graduate education and training; (F) conduct basic and applied research to assess and mitigate the environmental im- pact of hydrate degassing (including both natural degassing and degassing associated with commercial development); (G) develop technologies to reduce the risks of drilling through methane hydrates; and (H) conduct exploratory drilling, well test- ing, and production testing operations on permafrost and non-permafrost gas hydrates in support of the activities authorized by this paragraph, including drilling of one or more full-scale production test xxxxx.

  • Assistance and Cooperation (a) Each of the Companies shall provide (and shall cause its Affiliates to provide) the other Companies and their respective agents, including accounting firms and legal counsel, with such cooperation or information as they may reasonably request in connection with (i) preparing and filing Tax Returns, (ii) determining the liability for and amount of any Taxes due (including estimated Taxes) or the right to and amount of any refund of Taxes, (iii) examinations of Tax Returns, and (iv) any administrative or judicial proceeding in respect of Taxes assessed or proposed to be assessed. Such cooperation shall include making available, upon reasonable notice, all information and documents in their possession relating to the other Companies and their respective Affiliates as provided in Section 9. Each of the Companies shall also make available to the other Companies, as reasonably requested and available, personnel (including employees and agents of the Companies or their respective Affiliates) responsible for preparing, maintaining, and interpreting information and documents relevant to Taxes. (b) Any information or documents provided under this Section 8 or Section 9 shall be kept confidential by the Company or Companies receiving the information or documents, except as may otherwise be necessary in connection with the filing of Tax Returns or in connection with any administrative or judicial proceedings relating to Taxes. Notwithstanding any other provision of this Agreement or any other agreement, in no event shall any of the Companies or any of their respective Affiliates be required to provide the other Companies or any of their respective Affiliates or any other Person access to or copies of any information if such action could reasonably be expected to result in the waiver of any Privilege. In addition, in the event that any of the Companies determine that the provision of any information to the other Companies or their respective Affiliates could be commercially detrimental, violate any law or agreement or waive any Privilege, the Parties shall use reasonable best efforts to permit compliance with their obligations under this Section 8 or Section 9 in a manner that avoids any such harm or consequence.

  • Cooperation and Coordination The Parties acknowledge and agree that it is their mutual objective and intent to minimize, to the extent feasible and legal, taxes payable with respect to their collaborative efforts under this Agreement and that they shall use all commercially reasonable efforts to cooperate and coordinate with each other to achieve such objective.

  • Technical Cooperation In order to facilitate the implementation of this Agreement, developed country Members shall provide, on request and on mutually agreed terms and conditions, technical and financial cooperation in favour of developing and least-developed country Members. Such cooperation shall include assistance in the preparation of laws and regulations on the protection and enforcement of intellectual property rights as well as on the prevention of their abuse, and shall include support regarding the establishment or reinforcement of domestic offices and agencies relevant to these matters, including the training of personnel.
