Attributed Customers. This Agreement anticipates that the Reseller will introduce Customers to Weave’s Products and Services and those Customers will be the “Attributed Customers” of the Reseller under this Agreement. Reseller understands, acknowledges and agrees that Weave uses a number of sources and channels, internal and external to it, to attract and qualify potential Customers. Determinations as to whether a Customer is an ‘Attributed Customer’ of Reseller will be made pursuant to the Reseller Program and in Weave’s reasonable discretion. Weave agrees to pay Reseller in accordance with the Fee Table below based on actual monthly service charges received by Weave on behalf of each Attributed Customer. Fees not received or in arrears for an Attributed Customer shall not result in any fee until such amounts are actually received by Weave. FEE TABLE Tier 1: Up to 49 referred offices that are actively maintained with Weave. Compensation: 15% royalty on the monthly service charge*. Tier 2: 50-99 referred offices that are actively maintained with Weave. Compensation: 20% royalty on the monthly service charge*. Tier 3: Over 100 referred offices that are actively maintained with Weave. Compensation: 25% royalty on the monthly service charge*. *Royalties are calculated based on the monthly service charge only. Royalties are not paid on the taxes that are associated with the monthly service charge. Royalties shall be paid only on service charges actually paid to Weave. Once Reseller reaches a higher tier, Reseller is compensated at the new tier level for all practices referred and maintained monthly by the Reseller. Weave will conduct an audit as necessary to ensure that the proper compensation is accounted for under the correct tier.

  • Third Party Products and Services Through its Product(s), Palo Alto Networks may make available to you third-party products or services (“third-party apps”) which contain features designed to interoperate with our Products. To use such features, you must either obtain access to such third-party apps from their respective providers or permit Palo Alto Networks to obtain access on your behalf. All third-party apps are optional and if you choose to utilize such third-party apps:

  • To Customer To the extent Goods or any of their substances fall within the scope of other chemical control regulations, Supplier confirms and represents that the Goods or any of their substances, are fully compliant with these regulations.

  • Third Party Products 1. Third Party Hardware. We will sell, deliver, and install onsite the Third Party Hardware, if you have purchased any, for the price set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy.

  • Purchased Services During the term of this Collective Agreement, no regular employee will be declared surplus in his/her position as a result of the use of purchased services to perform the work normally performed by that employee.

  • Customer Affiliates Customer Affiliates may purchase and use Service subscription and Professional Services subject to the terms of this Agreement by executing Order Forms or Statements of Work hereunder that incorporate by reference the terms of this Agreement, and in each such case, all references in this Agreement to Customer shall be deemed to refer to such Customer Affiliate for purposes of such Order Form or Statements of Work.

  • Ownership of Customer Data As between Oracle and Customer, all title and intellectual property rights in and to the Customer Data is owned exclusively by Customer. Customer acknowledges and agrees that in connection with the provision of the Services, Oracle may store and maintain Customer Data for a period of time consistent with Oracle’s standard business processes for the Services. Following expiration or termination of the Agreement or a Customer account, if applicable, Oracle may deactivate the applicable Customer account(s) and delete any data therein. Customer grants Oracle the right to host, use, process, display and transmit Customer Data to provide the Services pursuant to and in accordance with this Agreement and the applicable Estimate/Order Form or SOW. Customer has sole responsibility for the accuracy, quality, integrity, legality, reliability, and appropriateness of Customer Data, and for obtaining all rights related to Customer Data required by Oracle to perform the Services.
