Authorization to Provide Contract Services. This Agreement by itself does not authorize the performance of Contract Services by Contractor, or obligate Authority to reimburse Contractor for any Contract Service performed. Contract Services provided by Contractor shall be performed pursuant to work orders (“Work Orders”) issued by Authority in the form attached hereto as Attachment B(3). Authority will compensate Contractor for the Contract Services in the manner set forth in the applicable Work Order and any attachments thereto. Each Work Order shall contain a not-to-exceed amount for direct and indirect costs plus a Minimum Fee and a Maximum Fee (as such terms are defined in Section 6.7) for Contract Services covered by the Work Order, and shall both authorize the Contractor to pro- ceed with the Contract Services set forth in the Work Order and obligate Authority to reimburse Contractor in the manner set forth therein in accordance with Section 6 of this Agreement for such Contract Services actually performed. Authority reserves full discretion relative to the issuance of subsequent Work Orders to be performed by Contractor. Contractor acknowledges and agrees that this Agreement or any Work Order issued hereunder does not grant, and shall not be construed to grant, to Contractor the sole and exclusive right to provide the Contract Services. Contractor further acknowledges that Authority, in its sole discretion, may enter into one or more agreements with other contractors to perform the Contract Services.

  • Payment for Project Services As full consideration for the Services to be performed by Contractor, City agrees to pay Contractor as set forth in accordance with the bid and not to exceed fee of $696,243.00 for the project. A monthly progress payment in the amount of ninety-five percent (95%) of the value of the work completed may be made every thirty (30) days upon application by the Contractor and certification by the Project Manager that such work has been completed. The cost of materials conforming to the plans and specifications (materials being those which are required to be contained and incorporated in a finished contract bid item) delivered to the project and not at the time incorporated in the work, may also be included in the estimate for payment. No such estimate or payment shall be construed to be an acceptance of any defective work or improper material. The Contractor shall be responsible for, and shall not remove from the project any material that has been included in the estimate for payment. Final payment shall be made upon the Project Manager certifying that the Contractor has satisfactorily completed the work in conformity with the Contract Documents.
