BENEFICIARIES’ RIGHTS. Each Beneficiary may at any time and from time to time without the consent of, or notice to the Guarantor, without incurring responsibility to the Guarantor and without impairing or releasing the obligations of the Guarantor hereunder, upon or without any terms or conditions and in whole or in part: (a) change the manner, place or terms of payment of, and/or change or extend the time of payment of, renew or alter, any of the Obligations due to it, any security therefor, or any liability incurred directly or indirectly in respect thereof, and, subject to clause (d) below, the guaranty and agreement herein made shall apply to the Obligations due to it as so changed, extended, renewed or altered; (b) sell, exchange, release, surrender, realize upon or otherwise deal with in any manner and in any order any property by whomsoever at any time pledged or mortgaged to secure, or howsoever securing, the Obligations or any liabilities (including any of those hereunder) incurred directly or indirectly in respect thereof or hereof due to it, and/or any offset thereagainst due to it; (c) exercise or refrain from exercising any rights against the RockGen Lessee or others or otherwise act or refrain from acting; (d) settle or compromise any of the Obligations due to it, any security therefor or any liability (including any of those hereunder) incurred directly or indirectly in respect thereof or hereof, and may subordinate the payment of all or any part thereof to the payment of any liability (whether due or not) of the RockGen Lessee to its creditors other than the Guarantor; provided that any settlement or compromise with respect to, or other reduction (by operation of law or negotiation) of, any of the Obligations (or amounts underlying such Obligations) due to it (whether occurring before or after the occurrence of a Lease Event of Default) shall not alter the amount of the original Obligations due to it guaranteed hereby and the Guarantor acknowledges and agrees that its obligations hereunder shall be for the full amount of the Obligations due to it without giving effect to any such settlement, compromise or other reduction; (e) apply any sums by whomsoever paid or howsoever realized to any liability or liabilities of the RockGen Lessee to such Beneficiary regardless of what liabilities or liabilities of the RockGen Lessee remain unpaid; (f) consent to or waive any breach of, or any act, omission or default under, the Participation Agreement or the Facility Lease, o...

CONTRACTOR shall post the current Drug Medi-Cal Organized Delivery System (DMC-ODS) Grievance and Appeals poster in locations readily available to Clients and staff and have Grievance and Appeal forms in the threshold languages and envelopes readily accessible to Clients to take without having to request it on the unit. B. In addition to those processes provided by ADMINISTRATOR, CONTRACTOR shall have an internal grievance processes approved by ADMINISTRATOR, to which Client shall have access. 1. CONTRACTOR's grievance processes shall incorporate COUNTY's grievance and/or utilization management guidelines and procedures. Client has the right to utilize either or both grievance process simultaneously in order to resolve their dissatisfaction. C. The parties agree that Clients have recourse to initiate an expression of dissatisfaction to CONTRACTOR and file a grievance or complaint.” 10. Exhibit A, Section I. Common Terms and Definitions, subparagraph A., of the Contract is deleted in its entirety and replaced with the following: A. The Parties agree to the following terms and definitions, and to those terms and definitions which, for convenience, are set forth elsewhere in this Agreement. 1. Each BDR shall grant its holder all rights and benefits proportional to the percentage of the Share it represents, provided that the Beneficiaries are not PRINCIPAL’s shareholders and the exercise of the rights granted to the Beneficiaries is subject to the terms and conditions set forth in this Agreement. 5.2. The Beneficiaries may, at any time and upon payment of the fee indicated in item 4 of Exhibit II to this Agreement, if applicable, in accordance with the provisions of section 3.14 above, request that the BDRs held by them be canceled and thus receive PRINCIPAL’s Shares represented by the canceled BDRs, provided that it shall not be possible to cancel the number of BDRs that result in a fraction of Company’s Share. BRADESCO may require the Beneficiaries to present documents that evidence their identity and ownership of the BDRs. BRADESCO may refuse to cancel the BDRs of the Beneficiaries who/which have not complied with their tax, FX or other obligations relating to the investment in the BDRs.

BENEFICIARIES’ RIGHTS. 5.1. Each BDR shall grant to the holder all rights and benefits in connection with the respective Share, considering that the Beneficiaries are not the CONTRACTING PARTY’s shareholders and that the exercise of the rights granted to the Beneficiaries shall be subject to the terms and conditions set forth in this Agreement. 5.2. The Beneficiaries may, at any time and upon payment of the rate referred to in item 4, Exhibit I, of this Agreement, however the case may be, as set forth in section 3.14 above, request that the BDRs are cancelled and, therefore, receive the Shares of the CONTRACTING PARTY represented by the cancelled BDRs. BRADESCO may request the Beneficiaries to present the documents that confirm the Beneficiaries’ identity and ownership of the BDRs. BRADESCO may refuse to cancel the BDRs of the Beneficiaries that have not complied with the tax, foreign exchange and other obligations relating to the investment in the BDRs.
BENEFICIARIES’ RIGHTS. The employee declares that he is aware that his beneficiaries, in the event of his death (G_d forbid) will not possess any rights toward the Company, as an employee of the Company, except their right to receive the balance of the monthly salary that was accruing to the employee, remuneration for vacation days and amounts accrued in the managersinsurance policy (pension and severance pay) and in the continuing education fund.
BENEFICIARIES’ RIGHTS. 1. Beneficiaries may appoint in writing a substitute trustee, succeeding to all rights and responsibilities of Trustee. 2. If any funds are paid by Beneficiaries as and when due in accordance with the terms of the Indemnification Agreement, due to Beneficiaries’ obligations to: (i) CIIF Associates II Limited Partnership (“CIIF”) pursuant to the Guaranty executed by one or both of the Beneficiaries to CIIF on even date hereof, therein securing payment to CIIF of a Promissory Note executed by Grantor on even date hereof in the original principal amount of $250,000 (the “CIIF Debt”); (ii) Allstate; or (iii) Compass, or any of their respective successors and assigns, then Beneficiaries are subrogated to all the rights and liens of the holders of any debt so paid. 3. If Grantor fails to perform any of Grantor’s obligations provided in this Deed of Trust (collectively, the “Grantor Responsibilities”), Beneficiaries may perform, if such failure continues for fifteen (15) or more days following written notice thereof, all or any portion of the Grantor Responsibilities and be reimbursed by Grantor on demand for any amounts so paid, including attorney’s fees, plus interest on those amounts from the dates of payment at the rate of twelve percent (12%) per annum. The amount to be reimbursed will be secured by this deed of trust. 4. If Grantor fails to perform any of Grantor’s Responsibilities and the default continues after fifteen (15) days written notice of the default and opportunity to cure the default, Beneficiaries may— a. direct Trustee to foreclose this lien, in which case Beneficiaries or Beneficiaries’ agent will cause notice of the foreclosure sale to be given as provided by the Texas Property Code as then in effect; and b. purchase all or any portion of the Property at any foreclosure sale. 5. Beneficiaries may remedy any default without waiving it and may waive any default without waiving any prior or subsequent default.
