Each BDR shall grant its holder all rights and benefits proportional to the percentage of the Share it represents, provided that the Beneficiaries are not PRINCIPAL’s shareholders and the exercise of the rights granted to the Beneficiaries is subject to the terms and conditions set forth in this Agreement.

The Manager declares that he is aware that his beneficiaries, in the event of his death (G_d forbid) will not possess any rights toward the Company, as an employee of the Company, except their right to receive the balance of the monthly Salary that was accruing to the Manager, remuneration for vacation days and amounts accrued in the provident/pension fund or accruing in accordance with any insurance policy, as relevant.

B. In addition to those processes provided by ADMINISTRATOR, CONTRACTOR shall have an internal grievance processes approved by ADMINISTRATOR, to which the beneficiary shall have access.
1. CONTRACTOR's grievance processes shall incorporate COUNTY's grievance and/or utilization management guidelines and procedures. The beneficiary has the right to utilize either or both grievance process simultaneously in order to resolve their dissatisfaction.
C. The parties agree that Clients have recourse to initiate an expression of dissatisfaction to CONTRACTOR and file a grievance or complaint.”
9. Exhibit A, Section I. Common Terms and Definitions, subparagraph A., of the Contract is deleted in its entirety and replaced with the following:

BENEFICIARIES’ RIGHTS. Guarantor authorizes Beneficiaries, --------------------- without notice or demand and without affecting Guarantor's liability hereunder, to receive and hold security for the payment of this Guaranty and/or the Guaranteed Obligations, and exchange, enforce, waive and release any such security; and to apply such security and direct the order or manner of sale thereof as Beneficiaries in its discretion may determine; and to obtain a guaranty of the Guaranteed Obligations from any one or more Persons and at any time or times to enforce, waive, rearrange, modify, limit or release any of such other Persons from their obligations under such guaranties.
