Benefit of Deed. This Deed shall be binding upon and enure to the benefit of each party hereto and its successors and permitted assigns.
Benefit of Deed. With prior written notice to the Owner, the Mortgagee may assign its rights under this Deed to any person appointed as Security Agent under the Loan Agreement. It is intended that this document takes effect as a deed even though the Mortgagee may only execute it under hand.
Benefit of Deed. 5.1 This Deed shall take effect as a deed poll for the benefit of the Rights Holders from time to time.
5.2 This Deed shall enure to the benefit of each Rights Holder and its (and any subsequent) successors and assigns, each of which shall be entitled severally to enforce this Deed against the Company.
5.3 The Company shall not be entitled to assign or transfer all or any of its rights, benefits and obligations hereunder.
Benefit of Deed. 20.1 This Deed shall be binding upon and enure to the benefit of each party hereto and its successors and permitted assigns.
20.2 Except in the circumstances contemplated by the provisions of Clause 17.2.3 the Transferor in its capacity as such shall not be entitled to assign or transfer all or any of its rights, benefits and obligations hereunder. The Receivables Trustee agrees that it shall, at the expense of the Transferor, execute such documents as the Transferor may reasonably require to effect the matters permitted pursuant to Clause 17.2.3.
20.3 The Receivables Trustee shall not be entitled to assign or transfer all or any of its rights, benefits and obligations hereunder except to the extent permitted and in the manner provided by the Receivables Trust Deed and Servicing Agreement.
Benefit of Deed. 18.1 This Deed shall be binding upon and enure to the benefit of each party hereto and its successors and permitted assigns.
18.2 Except in the circumstances contemplated by the provisions of paragraph 3(c) of Schedule 7 (Covenants), the Transferor in its capacity as such shall not be entitled to assign or transfer all or any of its rights, benefits and obligations hereunder. The Receivables Trustee agrees that it shall, at the expense of the Transferor execute such documents as the Transferor may reasonably require to effect the matters permitted pursuant to paragraph 3(c) of Schedule 7 (Covenants).
Benefit of Deed. The Deposits shall be held with the benefit of and subject to the provisions of this Deed, the conditions endorsed on the Certificate and the further conditions contained in the Second Schedule or such (if any) of them as are applicable thereto respectively and any further special conditions not inconsistent with this Deed as may be required by the terms of issue of the Deposit or as may be required by or approved by the Supervisor and the aforesaid provisions, conditions and special conditions shall be binding on FSSI, the Holders and all persons claiming through them respectively.
Benefit of Deed. This Deed shall be binding upon the Bareboat Charterer and its successors and shall inure to the benefit of the Assignee and its successors, transferees and assigns.
Benefit of Deed. This deed is given in favour of and for the benefit of:
(a) the Lender; and
(b) each Borrower, under the Facility Agreement and their respective successors and permitted assigns

8.1 This Deed and any non-contractual obligations connected with it are governed by English law.
8.2 The courts of England have exclusive jurisdiction to settle any dispute arising out of or in connection with this Deed or any non-contractual obligations connected with it (including a dispute regarding the existence, validity or termination of this Deed) (a Dispute).
8.3 The parties agree that the courts of England are the most appropriate and convenient courts to settle Disputes and, accordingly, that they shall not argue to the contrary.
8.4 Clauses 8.1 and 8.2 are for the benefit of the Mortgagee only. As a result, the Mortgagee shall not be prevented from taking proceedings relating to a Dispute in any other courts with jurisdiction. To the extent allowed by law, the Mortgagee may take concurrent proceedings in any number of jurisdictions.
8.5 Without prejudice to any other mode of service allowed under any relevant law, the Guarantor:
(a) irrevocably appoints the person named in Schedule 1 as its agent for service of process in relation to any proceedings before the English courts in connection with this Deed;
(b) agrees that failure by the process agent to notify the Guarantor of the process shall not invalidate the proceedings concerned; and
(c) if any person appointed as process agent for the Guarantor is unable for any reason to act as agent for service of process, the Guarantor must immediately (and in any event within ten days of such event taking place) appoint another agent on terms acceptable to the Mortgagee.
