Breach Notification to Individuals and Reporting to Authorities. (A) HHS may direct Contractor to provide Breach notification to individuals, regulators or third-parties, as specified by HHS following a Breach.
(B) Contractor must comply with all applicable legal and regulatory requirements in the time, manner and content of any notification to individuals, regulators or third-parties, or any notice required by other state or federal authorities, including without limitation, notifications required by Texas Business and Commerce Code, Chapter 521.053(b) and HIPAA. Notice letters will be in Contractor's name and on Contractor's letterhead, unless otherwise directed by HHS, and will contain contact information, including the name and title of Contractor's representative, an email address and a toll-free telephone number, for the individual to obtain additional information.
(C) Contractor shall provide HHS with draft notifications for HHS approval prior to distribution and copies of distributed and approved communications.
(D) Contractor shall have the burden of demonstrating to the satisfaction of HHS that any required notification was timely made. If there are delays outside of Contractor's control, Contractor shall provide written documentation to HHS of the reasons for the delay.
(E) If HHS directs Contractor to provide notifications, HHS shall, in the time and manner reasonably requested by Contractor, cooperate and assist with Contractor’s information requests in order to make such notifications.

(2) The MA Dual SNP must assure that the time, manner, and content of any Breach notification required by this section meets all federal and state regulatory requirements.
(3) Breach notice letters must be in the MA Dual SNP's name and on the MA Dual SNP's letterhead and must contain contact information to obtain additional information, including the name and title of the MA Dual SNP's representative, an email address, and a toll-free telephone number.
(4) The MA Dual SNP must provide HHSC with copies of all distributed communications related to the Breach notification at the same time the MA Dual SNP distributes the communications.
(5) The MA Dual SNP must demonstrate to the satisfaction of HHSC that any Breach notification required by applicable law was timely made. If there are delays outside of the MA Dual SNP's control, the MA Dual SNP must provide written documentation to HHSC of the reasons for the delay.

HHS shall have ten (10) business days to provide said feedback to CONTRACTOR. Notice letters will be in CONTRACTOR's name and on CONTRACTOR's letterhead, unless otherwise directed by HHS, and will contain contact information, including the name and title of CONTRACTOR's representative, an email address and a toll-free telephone number, if required by applicable law, rule, or regulation, for the Individual to obtain additional information.
(C) CONTRACTOR will provide HHS with copies of distributed and approved communications.
(D) CONTRACTOR will have the burden of demonstrating to the reasonable satisfaction of HHS that any notification required by HHS was timely made. If there are delays outside of CONTRACTOR's control, CONTRACTOR will provide written documentation of the reasons for the delay.
(E) If HHS delegates notice requirements to CONTRACTOR, HHS shall, in the time and manner reasonably requested by CONTRACTOR, cooperate and assist with CONTRACTOR’s information requests in order to make such notifications and reports.

(f) Each Party to this IAC further certifies that the Party will comply with all amendments, regulations, and guidance relating to those laws, to the extent applicable.

4.4.2. Rev. Stat. §§ 87-801 et seq., in the time, manner and content of any notification to individuals, regulators or third-parties, or any notice required by other state or federal authorities. Notice letters will be in Contractor's name and on Contractor's letterhead, unless otherwise directed by DHHS, and will contain contact information, including the name and title of Contractor's representative, an email address and a toll-free telephone number, for the individual to obtain additional information.
4.4.3. Contractor shall provide DHHS with draft notifications for DHHS approval prior to distribution and copies of distributed and approved communications.
4.4.4. Contractor shall have the burden of demonstrating to the satisfaction of DHHS that any required notification was timely made. If there are delays outside of Contractor's control, Contractor shall provide written documentation to DHHS of the reasons for the delay.
4.4.5. If DHHS directs Contractor to provide notifications, DHHS shall, in the time and manner reasonably requested by Contractor, cooperate and assist with Contractor’s information requests in order to make such notifications.

(b) Provider must obtain HHSC’s prior written approval of the time, manner and content of any notification to individuals, regulators or third- parties, or any notice required by other state or federal authorities. Notice letters will be in Provider’s name and on Provider’s letterhead, unless otherwise directed by HHSC, and will contain contact information, including the name and title of Provider’s representative, an email address and a toll-free telephone number, for the Individual to obtain additional information.
(c) Provider will provide HHSC with copies of distributed and approved communications.
(d) Provider will have the burden of demonstrating to the satisfaction of HHSC that any notification required by HHSC was timely made. If there are delays outside of Provider’s control, Provider will provide written documentation of the reasons for the delay.
(e) If HHSC delegates notice requirements to Provider, HHSC shall, in the time and manner reasonably requested by Provider, cooperate and assist with Provider’s information requests in order to make such notifications and reports.

Notice letters will be in User's name and on User's letterhead, unless otherwise directed by XXXXX, and will contain contact information, including the name and title of User's representative, an email address and a toll-free telephone number, for the individual to obtain additional information.
(C) User shall provide XXXXX with draft notifications for XXXXX approval prior to distribution and copies of distributed and approved communications.
(D) User shall have the burden of demonstrating to the satisfaction of XXXXX that any required notification was timely made. If there are delays outside of User's control, User shall provide written documentation to XXXXX of the reasons for the delay.
(E) If XXXXX directs User to provide notifications, XXXXX shall, in the time and manner reasonably requested by User, cooperate and assist with User’s information requests in order to make such notifications.
