Broadcast Standards and Practices. Comply with Licensee’s (or its applicable controlled Affiliates’) generally applicable broadcast standards and practices from time to time in effect. Licensee shall provide Licensor with its broadcast standards and practices (and any modifications thereto) for any Licensed Media that is then regulated by the FCC or other governmental organization in the Territory. Licensee shall meaningfully consult with Licensor in connection with the establishment of its broadcast standards and practices for any Licensed Media that is then unregulated by the FCC or other governmental organization in the Territory (including by providing Licensor and the Televisa Editing and Dubbing Appointee with a copy of such proposed broadcast standards and practices at least thirty (30) days prior to Licensee’s adoption thereof (and shall provide any proposed updates to such broadcast standards and practices at least two (2) weeks prior to the effectiveness thereof). Licensee shall consider in good faith any comments provided by Licensor to Licensee in connection with such consultation on any non-regulated Licensed Media, and shall act reasonably in determining whether to accept any such comments. Licensee shall not use any broadcast standards and practices in a manner intended to circumvent the editing restrictions set forth in this Section 8.8.

Broadcast Standards and Practices. (“BS&P”). The CW will timely provide Company with a delivery schedule for all elements of the Block and all elements of all programming in the Block consistent with the schedule and procedures now in place at The CW for its own program schedule. Company will follow said schedule, which obligation is of the essence to this Term Sheet. The CW will review all Content to make certain that such content complies with The CW’s then current broadcast standards and practices as well as all applicable laws and regulations, including, without limitation, the Children's Television Act (“CTA”), as amended, and the regulations promulgated pursuant to the CTA.

  • Standards of Care Seller shall comply with all applicable requirements of Law, the Transmission Provider, Utility Distribution Company, Governmental Approvals, the CAISO, CARB, FERC, NERC and WECC in its scheduling, interconnection, operation and maintenance of the Project and as contemplated by this Agreement. For the avoidance of doubt, Seller shall be responsible for procuring and maintaining, at its expense, all emissions credits required for operation of the Project throughout the Delivery Term in compliance with Law and to permit operation of the Project in accordance with this Agreement. Promptly following Xxxxx’s written request, Xxxxxx agrees to take all commercially reasonable actions and execute or provide any documents, information, or instruments with respect to Product reasonably necessary to enable Buyer to comply with the requirements of any Governmental Authority. Nothing hereunder shall cause Buyer to assume any liability or obligation with respect to Seller’s compliance obligations with respect to the Project under any new or existing Laws, rules, or regulations.

  • OMB Standards Unless specified otherwise within this agreement, the Subrecipient shall procure all materials, property, or services in accordance with the requirements of 24 CFR 84.40−48.
