Brokerage Representation. Seller and Purchaser hereby mutually represent and warrant unto the other that neither Seller nor Purchaser has retained or accepted the services of any real estate broker, agent or salesperson in connection with the purchase and sale transaction contemplated by this Agreement.

Brokerage Representation. Landlord and Tenant each represent and warrant that it has had no dealings or conversations with any real estate broker in connection with the negotiation and execution of this Lease, except the brokers specified in Section 1. Landlord and Tenant each agree to indemnify the other against all liabilities arising from any claim of any real estate brokers not listed in Section 1 of this Lease, including cost of counsel fees, resulting from the respective acts of Landlord and Tenant.

(CPR) whom will be compensated by Landlord according to a written agreement between Xxxxx Xxxxxxxxxx of CPR and Xxxxxx Xxxxxxx of D.C.S. Real Estate, Inc. further, Tenant hereby indemnifies and waives any claim against Landlord for any such fee unless stated in writing to the contrary.

Brokerage Representation. Lessor and Lessee acknowledge Xxxx Xxxxxxx and Xxxx Xxxxxx of Xxx & Associates-Newport Beach represent the Lessor (“Lessor’s broker”) and Xxxx Xxxxxx with CBRE, Inc. is representing the Lessee (“Lessee’s broker”) and no other brokers are a party to this transaction. Lessor shall be responsible to pay six percent (6%) of the Total Lease consideration for the Lease Term. Such fees shall be paid one hundred percent (100%) upon Lease Extension execution. Except as expressly amended above, all terms, provisions and conditions of the original Lease and those amended in the First Amended shall remain, unchanged and in full force and effect. In the event of any conflict or inconsistency between the terms and provisions of the Lease, the First Amendment, and Second Amendment the terms and provisions of this Third Amendment shall control. Brokerage Representation. Tenant represents to Landlord that Tenant has not dealt with any broker or agent in connection with this Sixth Amendment, and no broker or agent negotiated this Sixth Amendment. Tenant agrees to indemnify, defend and hold Landlord, its asset manager, its property manager and their respective employees, harmless from and against any claims for a fee or commission made by any broker or agent claiming to have acted by or on behalf of Tenant in connection with this Sixth Amendment.
Brokerage Representation. Sublessor has dealt exclusively with Cornish & Xxxxx Commercial, a licensed real estate broker ("Sublessor's Brokers"), in arranging this Sublease. Sublessor, pursuant to a separate written contract, between Sublessor and Sublessor's Broker, shall pay the compensation which said contract provides.
