By the School District. The School District agrees that it will indemnify, save and hold harmless TNTP from and against any and all damages, losses, claims, liabilities, demands, charges, suits, penalties, costs and expenses (including court costs and reasonable attorneys’ fees and expenses incurred in investigating and preparing for any litigation or proceeding) TNTP may sustain, arising out of (1) any and all employment decisions, including without limitation the hiring and termination decisions made by the School District regarding individuals recruited, trained, and certified by TNTP pursuant to this Agreement and any actions brought by third-parties in relation thereto, or (2) any negligent acts or omissions or willful misconduct of the School District or any of its agents, employees, or representatives.
