Scope of the Services. UNOPS intends to retain the Contractor for the implementation of the Services, and the Contractor intends to provide the Services. The Contractor has represented to UNOPS that it has the appropriate experience, expertise, licences, and resources to undertake the Services and has agreed to undertake the Services in accordance with the Contract. In reliance on the Contractor’s representations UNOPS has entered into the Contract. The Contract sets out the terms and conditions upon which the Contractor will undertake the Services.
Scope of the Services. 3.1 The services that the Construction Manager shall provide include, but are not limited to those described in the following sections.
Scope of the Services. 2.1. Service Provider agrees to provide the services to Customer as detailed in OF for an Initial Period as mentioned in OF and for said period the Customer has agreed to pay the amount as agreed in the OF.

2.3. Service Provider assures that it shall provide its immediate support and assistance in the event of any disruption in the Services being provided by Webberstop India Private Limited. The manner and time frame for troubleshooting and the timelines for the resolution of the problems are mentioned in the Annexure A of this Agreement.
2.4. Services will be provided to the Customer by the Service Provider with the infrastructure available at its data center which consists of the following: • Dual active power sources from two different power generation plants. • Capability to provide 99.95 % SLA • Carrier Neutral Datacenter • ISO 27001 Certified
2.5. Service Provider assures the Customer 99.95 % uptime availability of the infrastructure including Power* and Cooling** covered by this SLA. Hardware Uptimes SLA would be 4 hours response from the time of detection of hardware problem either by the service provider help desk or by the customer. Subject to clause 3 of this Agreement, in the event the Service Provider fails to provide the Customer with the Services required by the Customer in accordance with the Agreement, such failure resulting from complete unavailability of Service Provider Network, such events will be treated as “Qualified Network Downtime Event” for which Service Provider will issue the Customer a Service Credit. Scope of the Services. The CMTISP shall perform building site and/or flat-work, superstructure/underground facility or systems testing services according to local, state, and federal applicable law and regulations in connection with the scope of the Project described in the plans and specifications for the Project that is part of the Construction Documents and the CMTISP Proposal with the CMTISP Testing Efforts Schedule Unit and Hourly Rate Proposal Sheet - Exhibit “A” for the term of the Project.

The Services only include technical support for Your Device and the operating systems and software applications either thereon or intended to be used thereon and technical support for the use of Your Device with other devices and services manufactured to be compatible with Your Device or intended to be connected thereto. The Services do not include, among other things, (a) assistance with third-party software or services that are not related to Your Device; (b) installation of third-party software or OEM drivers not supported by Your Device; (c) assistance with network coverage issues, such as dropped calls/data interruptions; (d) over-the-air updates to operating systems, firmware, or some software; (e) diagnostic support not related to Your Device; (f) modification of Original Equipment Manufacturer ("OEM") software; (g) hardware and equipment setup and repair; (h) installation of non-sanctioned applications; (i) data migration between Devices; (j) assistance with enterprise level software industry specific hardware or equipment.

Scope of the Services. During the term of this Agreement, the Independent Contractor shall perform the services described in each Engagement Addendum attached hereto as Exhibit A (the "Services").
Scope of the Services. The “Services” consist of and include the following, as they may evolve and be supplemented, modified or replaced during the Term:
(a) the responsibilities, activities and tasks (collectively, “Functions”) described in this Agreement as Functions for which BancTec is responsible;
(b) any Functions reasonably related to the Functions described in Section 2.2(a) performed by (i) personnel of DFS (and its Affiliates) who were displaced, or whose functions are being displaced, as a result of this Agreement; or (ii) the non-personnel resources made available to BancTec or displaced, or the functions of which are displaced, as a result of this Agreement.
(c) any New Services DFS contracts with BancTec to perform pursuant to a Change Order or amendment to this Agreement; and
(d) any related Functions that are not specifically described in this Agreement but are nevertheless reasonably required for the proper performance and provision of the Services in compliance with the requirements of this Agreement.

Scope of the Services. The scope of the Services covers all measures, including those not explicitly listed in the Agreement required for due performance of the Services in accordance with the terms and conditions of the Agreement. When achievement of the above results is not possible without performance of a measure not explicitly listed in the Agreement, then performance of such a measure is considered as contractual obligation of the Contractor according to the Agreement. Such measures include, but are not limited to: interviews with the Company, its executives, officers, employees; obtaining of data, studies, other information etc. from the Company and the third parties, as well as assessment, structuring and other relevant use of such data, studies or other information; providing advice to the Company or relevant third parties to the extent required for performance of the Services; taking other measures required for due provision of the Services and performance of the Agreement.
