CANTEEN OUTSOURCING SERVICE CONTRACT. On 16 August 2024 (after trading hours), the Company entered into a canteen business outsourcing service contract (the “Canteen Outsourcing Service Contract”) (collectively with the Property Service Contract, the “Service Contracts”) with Xinglu Property Management, pursuant to which, Xinglu Property Management agreed to provide the Company with canteen management services (including the provision of special technical and service personnel required for the catering of the Group’s canteens to carry out labor services) for a term of one year. As at the date of this announcement, Xinglu Property Management is a wholly owned subsidiary of Xinglu Assets, the Controlling Shareholder of the Company. Accordingly, Xinglu Property Management is a connected person of the Company as defined under Chapter 14A of the Listing Rules and the transactions contemplated under the Service Contracts constitute continuing connected transactions of the Company. Pursuant to Rules 14.07 and 14A.81 of the Listing Rules, as the applicable percentage ratios (other than the profits ratio) in respect of the transactions contemplated under the Service Contracts are more than 0.1% but less than 5% calculated based on the historical aggregate transaction amount in the past 12 months, the transactions contemplated under the Service Contracts are subject to the reporting and announcement requirements but exempt from the circular and independent shareholdersapproval requirements under Chapter 14A of the Listing Rules.

CANTEEN OUTSOURCING SERVICE CONTRACT. The principal terms of the Canteen Outsourcing Service Contract are set out below: (1) The Company; and (2) Xinglu Property Management. staff canteen with the necessary special technical and service personnel to carry out labor services. The service fee under the Canteen Outsourcing Service Contract shall be RMB0.384 million per annum (tax inclusive), which includes staff salaries and benefits, administrative expenses, equipment maintenance expenses and taxes, and shall be paid by the Company on a monthly basis. Xinglu Property Management warrants that the aforementioned service fee is not more than that it charges any other Independent Third Parties for services of similar nature.

  • Outsourcing 28.1. The Company provides its Clients with trading services using an internet based trading system. The Company has outsourced the development, physical hosting, maintenance and updating of its online Trading Platform to a foreign entity. The Company’s Clients will not have any direct contact with this entity and the Company will take all reasonable steps to ensure the security of all the data regarding the identity of its Clients. The Client hereby acknowledges and accepts the fact that the Company outsources such activities.

  • Service Contract The Parties intend this Agreement to be a "service contract" within the meaning of Section 7701(e)(3) of the Internal Revenue Code of 1986.

  • Subcontracting for Medicaid Services Notwithstanding any permitted subcontracting of services to be performed under this Agreement, Party shall remain responsible for ensuring that this Agreement is fully performed according to its terms, that subcontractor remains in compliance with the terms hereof, and that subcontractor complies with all state and federal laws and regulations relating to the Medicaid program in Vermont. Subcontracts, and any service provider agreements entered into by Party in connection with the performance of this Agreement, must clearly specify in writing the responsibilities of the subcontractor or other service provider and Party must retain the authority to revoke its subcontract or service provider agreement or to impose other sanctions if the performance of the subcontractor or service provider is inadequate or if its performance deviates from any requirement of this Agreement. Party shall make available on request all contracts, subcontracts and service provider agreements between the Party, subcontractors and other service providers to the Agency of Human Services and any of its departments as well as to the Center for Medicare and Medicaid Services.

  • Support Services Rehabilitation, counselling and EAP’s. Support is strictly non- punitive, and can be accessed at anytime (self-identification of the need for help is strongly encouraged).

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • STUDENT SUPPORT SERVICES The Parties will identify and collaborate on measures to assist those students who may not be performing satisfactorily to succeed. The School will seek guidance from the College designee(s) in the areas of test preparation, tutoring, College Connection services, academic advising, and the development of an integrated support system for Students across the two institutions. Students will have access to the same or similar tutoring and other academic support as provided for other students in the School District, School and College. To promote academic success, the Parties will provide academic support services as may be needed. The School counselor and its designee will work to ensure Students receive pertinent information regarding higher education, financial assistance, and assistance waivers for tuition and fees. As needed, each Party will assist families as they complete initial application and admission requirements per the respective organizations’ processes. The School District will be responsible for non-academic counseling services and the College is authorized, but not required, to provide emergency counseling intervention services. See section 4 – Disability Support Services.

  • STATEWIDE CONTRACT MANAGEMENT SYSTEM If the maximum amount payable to Contractor under this Contract is $100,000 or greater, either on the Effective Date or at any time thereafter, this section shall apply. Contractor agrees to be governed by and comply with the provisions of §§00-000-000, 00-000-000, 00-000-000, and 00- 000-000, C.R.S. regarding the monitoring of vendor performance and the reporting of contract information in the State’s contract management system (“Contract Management System” or “CMS”). Contractor’s performance shall be subject to evaluation and review in accordance with the terms and conditions of this Contract, Colorado statutes governing CMS, and State Fiscal Rules and State Controller policies.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").
