CAPACITY AND DUTIES OF EMPLOYEE. The Employee is employed by the Company to render services on behalf of the Company in the capacity set forth in Appendix A hereto, as such Appendix may be amended or supplemented from time to time (as so amended or supplemented, "Appendix A"). The Employee shall perform such duties, consistent with the Employee's job title, as are assigned to the title or titles held by the Employee as set forth from time to time in the Company's Bylaws and such other duties as may be prescribed from time to time by the Company's Board of Directors (the "Board") or the executive of the Company to whom the Employee directly reports.

During the Employment Term (defined below), Employee may not be given a lesser title and shall report only to the Board or to a party or parties designated by the Board.
CAPACITY AND DUTIES OF EMPLOYEE. The Employee shall continue to be employed by the Company as Executive Vice President for the Employment Term, defined below. During the Employment Term, the Employee shall, subject to the time reasonably required by Employee to seek other employment, perform such duties, consistent with the Employee’s title, as may be prescribed by the Company’s Chief Executive Officer. It is understood and agreed that Employee will cease to serve as an executive officer of the Company effective April 1, 2002 and will seek other employment during the Employment Term, as defined herein. For purposes of this Agreement, seeking employment may include, but not be limited to (a) contacts by Employee with others, including competitors of the Company, with respect to employment, with respect to joint ventures, roll-up transactions, and other enterprises of which entity Employee might be an owner and which entity might be in competition with the Company (“Potential Competitors”), and with respect to other matters; (b) contacts by Employee with financial institutions, investment bankers, and others with respect to possible financing of Potential Competitors; and (c) contacts with shipyards, suppliers, and (subject to the provisions of Section 4 of Article IV hereof) others with respect to Potential Competitors.

  • Capacity and Duties (a) Executive shall serve hereunder initially as Executive Vice President, and thereafter during the term of this Agreement in such other or additional positions as may be assigned by the Board of Directors of the Employer and/or the Bank (collectively, the “Board”) or by the President and Chief Executive Officer of the Employer acting on behalf of the Board. Executive shall perform such duties and shall have such authority consistent with Executive’s position as may from time to time reasonably be specified by the Board or by the President and Chief Executive Officer acting on behalf of the Board. The terms and conditions of this Agreement have been reviewed and approved by the Board’s Executive Compensation Committee, and such Committee shall review the Agreement on a three-year cycle, or more frequently, to assess the continuing appropriateness of this Agreement in light of the then-current needs of the Employer. No change in duties of Executive shall in any way diminish the Base Salary payable to him or her pursuant to the provisions of Section 3 herein.

This Section will not be construed to prevent Employee from (a) investing personal assets in businesses which do not compete with the Company in such form or manner that will not require any services on the part of Employee in the operation or the affairs of the companies in which such investments are made and in which Employee's participation is solely that of an investor; (b) purchasing securities in any corporation whose securities are listed on a national securities exchange or regularly traded in the over-the-counter market, provided that Employee at no time owns, directly or indirectly, in excess of one percent (1%) of the outstanding stock of any class of any such corporation engaged in a business competitive with that of the Company; or (c) participating in conferences, preparing and publishing papers or books, teaching or joining or participating in any professional associations or trade group, so long as the Board of Directors of the Company approves such participation, preparation and publication or teaching prior to Employee’s engaging therein.

If the decision of such disinterested members of the Board is not to renew this Agreement, then the Board shall provide Executive with a written notice of non-renewal (“Non-Renewal Notice”) at least thirty (30) days and not more than sixty (60) days prior to any Anniversary Date, such that this Agreement shall terminate at the end of thirty-six (36) months following such Anniversary Date. The failure of the disinterested members of the Board to take the actions set forth herein before any Anniversary Date will result in the automatic non-renewal of this Agreement, even if the Board fails to affirmatively issue the Non-Renewal Notice to Executive. If the Board fails to inform Executive of its determination regarding the renewal or non-renewal of this Agreement, the Executive may request, in writing, the results of the Board’s action (or non-action) and the Board shall, within thirty (30) days of the receipt of such request, provide a written response to Executive. Reference herein to the term of this Agreement shall refer to both such initial term and such extended terms.
