Change in Paying Agents give or procure that there be given to the Noteholders not more than 45 nor less than 30 days' prior notice of any appointment or any resignation or removal of any Paying Agent or the Calculation Agent or the CMU Lodging and Paying Agent (other than the appointment of the Paying Agents listed in the Conditions) or any change of any Paying Agent's specified office from that last notified to Noteholders pursuant thereto (after having, to the extent required by the Conditions, obtained the prior written approval of the Trustee thereto);

  • Default in payment Any payment not made within ten (10) business days after it is due in accordance with this Agreement shall thereafter bear interest, compounded annually, at the prime rate in effect from time to time at Citibank, N.A., or any successor thereto. Such interest shall be payable at the same time as the corresponding payment is payable.
