Civil Law Notary. The civil law notary who executes this deed is a civil law notary holding office with Xxxxx & Xxxxx LLP, the Transferee's legal adviser. The Transferors and the Transferee hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics ('Verordening beroeps- en gedragsregels') of the Royal Professional Organisation of Civil Law Notaries ('Koninklijke Notariële Beroepsorganisatie') and explicitly agree and acknowledge (i) that Xxxxx & Overy LLP may advise and act on behalf of the Transferee with respect to this deed, and any agreements or any disputes related to or resulting from this deed, and (ii) that the civil law notary holding office with Xxxxx & Xxxxx LLP executes this deed. The Company hereby acknowledges the transfer of the Shares effected by this deed and shall register the same in its register of shareholders.
Civil Law Notary. The Parties are aware of the fact that the Civil Law Notary works with NautaDutilh, the firm that advises the Purchaser in the Transaction. With reference to the Code of Conduct (Verordening beroeps- en gedragsregels) established by the Royal Notarial Professional Organisation (Koninklijke Notariële Beroepsorganisatie), the Parties hereby explicitly agree (i) that the Civil Law Notary shall execute any notarial deeds related to this Agreement and (ii) that the Purchaser is assisted and represented by NautaDutilh in relation to this Agreement and any agreements that may be concluded, or disputes that may arise, in connection therewith.
Civil Law Notary. Each of the parties to this Deed acknowledges that:
(a) dr. T.P. van Duuren, civil law notary (notaris) in Amsterdam, The Netherlands, is a partner of Xxxxxxxx Chance LLP; and
(b) Xxxxxxxx Chance LLP acts as the legal adviser to the Administrative Agent, Linklaters LLP in Amsterdam acts as the Dutch legal adviser to the Collateral Agent and that Freshfields Bruckhaus Xxxxxxxx LLP in Amsterdam acts as the Dutch legal adviser to the Pledgor and the Company in this transaction; and,
Civil Law Notary. The Parties are aware of the fact that the Civil Law Notary works with Xxxxx & XxXxxxxx, the firm that advises the Purchaser in this transaction. With reference to the Code of Conduct (Verordening beroeps- en gedragsregels) established by the Royal Notarial Professional Organization (Koninklijke Notariële Beroepsorganisatie), the Parties hereby explicitly agree (i) that the Civil Law Notary shall execute any notarial deeds related to this Agreement and (ii) that the Purchaser is assisted and represented by Xxxxx & XxXxxxxx in relation to this Agreement and any agreements that may be concluded, or disputes that may arise, in connection therewith.
Civil Law Notary. 11.1. [The parties hereby acknowledge that [—], the civil law notary (notaris) before whom this deed is executed (gepasseerd), is associated with Houthoff Buruma Coöperatief U.A., a firm of civil-law notaries and lawyers that advises and represents Seller in connection with this deed and other matters. With reference to the Regulation establishing the Professional Rules of Conduct of the Dutch Royal Notarial Society (Koninklijke Notariële Beroepsorganisatie), Buyer and the Company hereby (i) acknowledge and agree that Seller is being advised and/or represented by civil-law notaries and/or lawyers of Houthoff Buruma Coöperatief U.A. in connection with this deed and other matters, and (ii) agree that Seller may request lawyers of Houthoff Buruma Coöperatief U.A. to represent Buyer in any dispute arising out of this deed against Seller and/or the Company.]
Civil Law Notary. Each of the Seller and the Purchaser is aware that the Civil Law Notary holds office with Xxxxx & Overy LLP and hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics (Verordening beroeps- en gedragsregels) of the Royal Professional Organisation of Civil Law Notaries (Koninklijke Notariele Beroepsorganisatie) and explicitly agree and acknowledge that:
15.13.1 Xxxxx & Xxxxx LLP may advise and act on behalf of the Relevant Seller and the Relevant Purchaser with respect to the sale of the Dutch Shares and the Kuwait Shares, the Dutch Transfer Deeds, the Kuwait Transfer Deeds and any agreements or any disputes related to or resulting from the sale of the Dutch Shares and the Kuwait Shares, the Dutch Transfer Deeds, the Kuwait Transfer Deeds and any agreements or any disputes related thereto; and
15.13.2 the Civil Law Notary shall execute the Dutch Transfer Deeds and the Kuwait Transfer Deeds pursuant to which the Dutch Shares and the Kuwait Shares will be transferred and the Civil Law Notary will act as civil law notary on behalf of the Relevant Seller (partijnotaris).
Civil Law Notary. Each of the Seller and the Purchaser is aware that the Civil Law Notary holds office with Xxxxx & Overy LLP and hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics (Verordening beroeps- en gedragsregels) of the Royal Professional Organisation of Civil Law Notaries (Koninklijke Notariele Beroepsorganisatie) and explicitly agree and acknowledge that:
15.13.1 Xxxxx & Xxxxx LLP may advise and act on behalf of the Relevant Seller and the Relevant Purchaser with respect to the sale of the Dutch Shares, the Dutch Transfer Deeds and any agreements or any disputes related to or resulting from the sale of the Dutch Shares, the Dutch Transfer Deeds and any agreements or any disputes related thereto; and
15.13.2 the Civil Law Notary shall execute the Dutch Transfer Deeds pursuant to which the Dutch Shares will be transferred and the Civil Law Notary will act as civil law notary on behalf of the Relevant Seller (partijnotaris).
Civil Law Notary. Dr T.P. van Duuren is a civil law notary holding office with Xxxxxxxx Chance LLP, the Administrative Agent's legal adviser. The Pledgor, the Collateral Agent and the Company hereby acknowledge that they have been informed of the existence of the Ordinance Containing Rules of Professional Conduct and Ethics (Verordening Beroeps- en Gedragsregels) of the Royal Professional Organisation of Civil Law Notaries (Koninklijke Notariele Beroepsorganisatie) and explicitly agree and acknowledge (i) that Xxxxxxxx Chance LLP may advise and act on behalf of the Administrative Agent with respect to this Deed, and any agreements or any disputes related to or resulting from this Deed and (ii) that Dr T.P. van Duuren. holding office with Xxxxxxxx Chance LLP, or one of his deputies, executes this Deed.
Civil Law Notary. 1. With reference to the Regulation on Interdisciplinary Cooperation 2013 (IDS) and the Regulation on Professional and Conduct Rules adopted by the Royal Dutch Association of Civil-Law Notaries, the State and WSW explicitly declare that they have agreed that the [Civil- Law Notary] has acted and will act as party advisor to WSW in the execution of this deed, all agreements related or to be related thereto [and all other documentation related to the guarantee system], as well as in relation to disputes between the State and WSW on (interpretation/execution of) this deed or any agreement related thereto. The State and WSW have explicitly agreed to the Civil-Law Notary executing this deed.
2. The work performed by the Civil-Law Notary for and on behalf of Xxx Xxxxxx N.V. is subject to Xxx Xxxxxx N.V.'s general terms and conditions, which include a limitation of liability. These general terms and conditions were filed with the registry of the District Court of Amsterdam on the twenty-eighth of November two thousand and twenty-two under number 64/2022 and a copy thereof is attached to this Agreement as Annex [@].
Civil Law Notary. The parties are aware of the fact that the Civil Law Notary works with Freshfields Bruckhaus Xxxxxxxx, the Vendor’s Solicitors in the Transaction. Pursuant to the Code of Conduct (“Verordening beroeps - en gedrags regels”) of the Royal Notarial Professional Organisation (“Koninklijke Notariële Beroepsorganisatie KNB”), the parties hereby expressly agree that at Completion the Civil Law Notary shall execute the Notarial Deed in respect of the Kappa Shares. IN WITNESS whereof this Agreement has been entered into the day and year first herein written.
