Class Counsel and Named Plaintiffs agree not to use any information provided by Defendants (including discovery material), or work product generated in connection with this Action that references or makes use of information provided by Defendants (including discovery material), for purpose of any future legal proceeding that would be adverse to the Released Parties, other than to enforce this Settlement Agreement. Without limitation of the foregoing, Class Counsel and Named Plaintiffs represent that they will not voluntarily disclose potential claims or subject matter of the Action or any information, discovery material, or work product referenced in this Paragraph to any person whom Class Counsel or Named Plaintiffs know or believe may file a lawsuit against the Defendants except as necessary to effectuate the settlement contemplated herein. In the event that Class Counsel or any of the Named Plaintiffs are served with a subpoena or judicial process requesting that they disclose confidential information, they will, within a commercially reasonable time, provide the Released Parties and their counsel with notice and a copy of the subpoena or judicial process so that the Released Parties will have an opportunity to intervene and object. Unless the return date of the subpoena is sooner, notice will be provided within five business days of receipt of the process. If sooner, notice will be provided as soon as practical upon receipt. This paragraph is not intended to operate as a restriction on any attorney’s right to practice as contemplated by Vermont Rule of Professional Conduct 5.6 (and all equivalent rules in other jurisdictions). In addition, it does not prevent anyone from, for example, discussing any material in the public record of the Action in any educational setting or other scholarly work.

  • Class Counsel Fees include the fees, disbursements, costs, interest, GST or HST (as the case may be) and other applicable taxes or charges thereon, including any amounts payable by Class Counsel or the Settlement Class Members to any other body or Person as a result of the Settlement Agreement, including the Fonds d’aide aux actions collectives in Québec.

  • To Class Counsel A Class Counsel Fees Payment of not more than %, which is currently estimated to be $ , and a Class Counsel Litigation Expenses Payment of not more than $ . XYZ will not oppose requests for these payments provided that do not exceed these amounts. Plaintiff and/or Class Counsel will file a motion for Class Counsel Fees Payment and Class Litigation Expenses Payment no later than [16 court] days prior to the Final Approval Hearing.   • Plaintiff’s Release Plaintiff and his or her respective former and present spouses, representatives, agents, attorneys, heirs, administrators, successors, and assigns generally, release and discharge Released Parties from all claims, transactions, or occurrences that occurred during the Class Period, including, but not limited to: (a) all claims that were, or reasonably could have been, alleged, based on the facts contained, in the Operative Complaint and (b) all PAGA claims that were, or reasonably could have been, alleged based on facts contained in the Operative Complaint, Plaintiff’s PAGA Notice, or ascertained during the Action and released under 6.2, below. Plaintiff acknowledges that Plaintiff may discover facts or law different from, or in addition to, the facts or law that Plaintiff now knows or believes to be true but agrees, nonetheless, that Plaintiff’s Release shall be and remain effective in all respects, notwithstanding such different or additional facts or Plaintiff’s discovery of them.

  • Civil Fines Pursuant to Health & Safety Code §25249.7(b), and in settlement of all claims alleged in the notice, the Settling Entity agrees to pay a total of $1,600 in civil fines. This payment will be allocated in accordance with Health & Safety Code §25249.12(c)(1) and (d), with 75% of the penalty amount paid to the Office of Environmental Health Hazard Assessment (OEHHA) and the remaining 25% of the penalty amount paid to and retained by Xxxxxxx.
