Collective Action. At any time when there is more than one Stockholder, they shall act collectively as if they were one Stockholder holding all of their shares of Registrable Common Stock, and any act, determination or request permitted or required to be done or made hereunder by any of them shall be done or made solely by NAB on their behalf in a coordinated manner as if they were one Stockholder. NAB shall cause each Stockholder (and former Stockholder) to perform its obligations under, and otherwise comply with, the provisions of this Agreement.
Collective Action. Throughout the term of this Agreement, Regional Franchisee shall not join, participate in, combine or conspire with or through any council of Franchisees, or any franchisee association or other type of group, and not give encouragement, support or guidance to any such group or any individual member of such group, and not become a party to any class action suit or become involved in any other type of activity that has the effect of (or has as its purpose, in whole or in part, express or implied):
(i) The withholding of any fees, dues or other sums due and owing to RE/MAX JAPAN under the terms of (A) this Agreement and other RE/MAX regional franchise agreement in Japan; or (B) any Franchise Agreements and other similar agreements that RE/MAX JAPAN may have in this Territory or any other region in Japan; or
(ii) The engaging in any form of activity of any kind or nature that would tend to have a detrimental or adverse impact on the RE/MAX Parties, the RE/MAX System, the RE/MAX Network, the Proprietary Concept, and/or public respect for and trust in the Marks.
Collective Action. The election to designate (pursuant to clause (iv) or (v) of Section 2.01(b)) or to cause the removal of (pursuant to Section 2.02(a)) any Director by the Other Holders, or by SPH Manager and the Other Holders, and the taking of any other action by the Other Holders, or by SPH Manager and the Other Holders, in each case collectively as contemplated in this Agreement, shall be effective upon the delivery of a written notice thereof to the Company executed by the holders of a majority of the outstanding Shares (other than Shares held by any Other Holder who has waived its right or declined to participate in the designation or removal of Directors pursuant to Section 5.06, Section 5.11 or otherwise) that are Beneficially Owned in the aggregate by the Other Holders or by SPH Manager and the Other Holders, as the case may be.
Collective Action. Notwithstanding anything to the contrary contained herein, the Lenders and each other holder of an Obligation under a Credit Document shall act collectively through the Administrative Agent. Each Lender agrees that it shall not, and hereby waives any right to, take or institute any actions or proceedings, judicial or otherwise, for any such right or remedy or assert any other cause of action against any Credit Party or any past, present, or future Subsidiary or Affiliate of any Credit Party concerning this Agreement, the other Credit Documents, the Loans and any securities or interests issued pursuant to this Agreement, any Collateral, or any other property of any Credit Party or any past, present, or future Related Parties of any Credit Party other than through the Administrative Agent; provided, that, for the avoidance of doubt, this sentence may be enforced against any Lender by the Required Lenders, the Agents or the Borrower (or any of its Affiliates) and each Lender and the Agents expressly acknowledge that this sentence shall be available as a defense of the Borrower (or any of its Affiliates) in any action, proceeding or remedial procedure. Each Lender, whether or not a party hereto, will be deemed, by its acceptance of the benefits of the Collateral and Security Documents, to have agreed to the foregoing provisions.
