Commercial advisory. The consultant will be required to undertake the following commercial services:  Perform an end to end due diligence on the commercial delivery methodology proposed in the LNG tender by the proponent, to identify the commercial risks, at each step of transfer of ownership from LNG supplier to shipper, shipper to PetroSA and provide a comprehensive summary of the commercial risk associated with the proposed delivery methodology based on the commodity source, transfer and the delivery supply chain. Review the application of the project macroeconomic assumptions to ensure the assumptions as provided in the project assumption book are correctly applied in the PetroSA Feedstock model, to ensure mathematical correctness in the model, and the model is free of material errors. .  Reviewing the consistency of PetroSA’s Feedstock model with financial and LNG procurement contractual documentation; to ensure the LNG gas price formulae is correctly interpreted into the project, to include the escalation formulae applicability to the proposed contract term.  Suggesting economic model modifications and sensitivity testing and guiding the relevant PetroSA personnel to implement modifications, if required.  Provide an independent view on on the future forecasted exchange rate, and commodity indexation to provide a high, low and expected cost of raw material (LNG) as refinery feedstock  Provide guidance on the proposed foreign exchange hedging strategy to mitigate risks associated with the proposed Feedstock pricing formula. Recognising that product price and Feedstock prices may be linked to different indices, and advise on suitable mitigation methodologies.  Provide an independent assessment of the anticipated forward final product pricing structure for the duration of the LNG supply contract.  Provide an assessment of additional commercial risks and mitigation factors that may not have been identified in the initial proposal.  Provide advice on the potential project structuring options, and contracting strategy  Advise on the optimum funding solution for the transaction  Provide assistance to PetroSA with commercials and economic advice during the Gas Sales Purchase Agreement negotiations over an anticipated period of three months.

  • INDEPENDENT BOARD COMMITTEE AND INDEPENDENT FINANCIAL ADVISER The Independent Board Committee, comprising all the independent non-executive Directors, has been established to advise and give recommendation to the Independent Shareholders on the Loan Agreement and the transactions contemplated thereunder. An independent financial adviser will be appointed to advise the Independent Board Committee and the Independent Shareholders on, among other matters, the fairness and reasonableness of the Loan Agreement and the transactions contemplated thereunder.

  • No Brokers The Company has taken no action which would give rise to any claim by any person for brokerage commissions, transaction fees or similar payments relating to this Agreement or the transactions contemplated hereby.

  • FISCAL ADVISORY COMMITTEE Recognizing the value of Union input on behalf of employees, the parties agree to the following:

  • Technical Advisory Committee (TAC The goal of this subtask is to create an advisory committee for this Agreement. The TAC should be composed of diverse professionals. The composition will vary depending on interest, availability, and need. TAC members will serve at the CAM’s discretion. The purpose of the TAC is to: • Provide guidance in project direction. The guidance may include scope and methodologies, timing, and coordination with other projects. The guidance may be based on: o Technical area expertise; o Knowledge of market applications; or o Linkages between the agreement work and other past, present, or future projects (both public and private sectors) that TAC members are aware of in a particular area. • Review products and provide recommendations for needed product adjustments, refinements, or enhancements. • Evaluate the tangible benefits of the project to the state of California, and provide recommendations as needed to enhance the benefits. • Provide recommendations regarding information dissemination, market pathways, or commercialization strategies relevant to the project products. The TAC may be composed of qualified professionals spanning the following types of disciplines: • Researchers knowledgeable about the project subject matter; • Members of trades that will apply the results of the project (e.g., designers, engineers, architects, contractors, and trade representatives); • Public interest market transformation implementers; • Product developers relevant to the project; • U.S. Department of Energy research managers, or experts from other federal or state agencies relevant to the project; • Public interest environmental groups; • Utility representatives; • Air district staff; and • Members of relevant technical society committees. The Recipient shall: • Prepare a List of Potential TAC Members that includes the names, companies, physical and electronic addresses, and phone numbers of potential members. The list will be discussed at the Kick-off meeting, and a schedule for recruiting members and holding the first TAC meeting will be developed. • Recruit TAC members. Ensure that each individual understands member obligations and the TAC meeting schedule developed in subtask 1.11. • Prepare a List of TAC Members once all TAC members have committed to serving on the TAC. • Submit Documentation of TAC Member Commitment (such as Letters of Acceptance) from each TAC member.   • Advisory Services The Advisor shall act as investment advisor for the Funds and shall, in such capacity, supervise all aspects of the Funds' operations, including the investment and reinvestment of cash, securities or other properties comprising the Funds' assets, subject at all times to the policies and control of the Board of Trustees. The Advisor shall give the Trust and the Funds the benefit of its best judgment, efforts and facilities in rendering its services as investment advisor.

  • Professional Advice The acceptance of the Options and the sale of Common Stock issued pursuant to the exercise of Options may have consequences under federal and state tax and securities laws which may vary depending upon the individual circumstances of the Optionee. Accordingly, the Optionee acknowledges that he or she has been advised to consult his or her personal legal and tax advisor in connection with this Agreement and his or her dealings with respect to Options. Without limiting other matters to be considered with the assistance of the Optionee’s professional advisors, the Optionee should consider: (a) whether upon the exercise of Options, the Optionee will file an election with the Internal Revenue Service pursuant to Section 83(b) of the Code and the implications of alternative minimum tax pursuant to the Code; (b) the merits and risks of an investment in the underlying shares of Common Stock; and (c) any resale restrictions that might apply under applicable securities laws.

  • Agency and Brokerage Commission is to be paid to Auctioneer pursuant to and in accordance with that certain agreement between Auctioneer and Seller regarding authorization and compensation, and to Broker, if any, pursuant to the Terms and Conditions of the Auction, Broker/Bidder Participation Form and Broker Listing Agreement for Auction, relative to the subject Property, which documents are incorporated herein by reference. SEVEN HILLS AUCTIONS, LLC, auctioneer/broker, is acting exclusively as agent for the Seller.

  • Engagement of Independent Review Organization Within 60 days after the Effective Date, Xx. Xxxxxx shall engage an individual or entity, such as an accounting, auditing, or consulting firm (hereinafter “Independent Review Organization” or “IRO”), to perform the reviews listed in this Section III.C. The applicable requirements relating to the IRO are outlined in Appendix A to this IA, which is incorporated by reference.‌

  • Professional Engineering and Architect’s Services Professional Engineering and Architect’s Services are not permitted to be provided under this Agreement. Texas statutes prohibit the procurement of Professional Engineering and Architect’s Services through a cooperative agreement.
