Commitment to Company; Avoidance of Conflict of Interest. While an employee of the Company, I will devote my full-time efforts to the Company’s business and I will not engage in any other business activity that conflicts with my duties to the Company. I will advise the president of the Company or his or her nominee at such time as any activity of either the Company or another business presents me with a conflict of interest or the appearance of a conflict of interest as an employee of the Company. I will take whatever action is requested of me by the Company to resolve any conflict or appearance of conflict which it finds to exist.

I also agree that I will not engage in any other business activity (including service on a Board of Directors) that conflicts with either my time commitment to the Company or my duties to the Company (e.g., being employed by, associated with or having a financial interest in a Company client, customer, vendor, supplier or any entity engaged in business with Company) or otherwise violate any Company policy, unless I receive prior approval in writing from the CEO of the Company. I will advise the CEO of the Company, or his or her nominee at such time as any activity of either the Company or another business presents me with a conflict of interest or the appearance of a conflict of interest as an employee of the Company. I will take whatever action is requested of me by the Company to resolve any conflict or appearance of conflict that it finds to exist.

While an employee of the Company, you will not, directly or indirectly, engage in (a) any business activity that is competitive with, or conflicts with, the Company’s business activity or (b) any other outside business activity. You will advise an authorized officer of the Company or his or her designee at such time as any activity of either the Company or another business presents you with a conflict of interest or the appearance of a conflict of interest as an employee of the Company. You will take whatever reasonable action is requested of you by the Company to resolve any conflict or appearance of conflict which it finds to exist.
Commitment to Company; Avoidance of Conflict of Interest. While an employee of the Company and as a non-employee during the Consulting Period, I will not, directly or indirectly, engage in any other business activity, except as expressly authorized in writing and in advance by the Chief Executive Officer (“CEO”) of the Company; provided that the Company expressly acknowledges that I will serve as an Executive Partner at Flagship Pioneering and as a director on the board of directors of Fate Therapeutics and aTyr Pharma. I will advise the CEO of the Company at such time as any activity of either the Company or another business presents me with an opportunity that I reasonably believe constitutes a conflict of interest as an employee or a consultant of the Company during the Consulting Period. I will take whatever action is reasonably requested of me by the Company to resolve any conflict or appearance of conflict which exists.

While an employee of the Company, Executive will devote his full-time efforts to the Company’s business and Executive will not, directly or indirectly, engage in any other business activity, except as expressly authorized in writing and in advance by a duly authorized representative of the Company. Executive will take whatever action is requested of him by the Company to resolve any conflict or appearance of conflict which it finds to exist. Notwithstanding anything to the contrary in this Agreement, nothing shall preclude Executive from engaging in professional, educational, religious, civic, charitable or similar types of activities, community affairs and/or managing Executive’s (or his family’s) personal investments and affairs, provided that these activities do not interfere or conflict with the performance of Executive’s duties and responsibilities hereunder.

I also agree that I will not engage in any other business activity (including service on a Board of Directors) that conflicts with either my time commitment to the Company or my duties to the Company (e.g., being employed by, associated with or having a financial interest in a Company customer, vendor, supplier or any entity engaged in business with Company) or otherwise violates the Code of Conduct, unless I receive prior approval in writing from a representative of the Human Resources Department, in consultation with the Legal Department. I will advise the President of the Company or his or her nominee at such time as any activity of either the Company or another business presents me with a conflict of interest or the appearance of a conflict of interest as an employee of the Company. I will take whatever action is requested of me by the Company to resolve any conflict or appearance of conflict that it finds to exist.
