Community Priorities Annual Reports and Records. 6.1 Squamish Nation covenants and agrees as follows: 6.1.1 Within 60 days of the Effective Date of this Agreement, Squamish Nation or its Designate will prepare a statement of community priorities covering the term of the Agreement, substantially in the form set out in Appendix E that outlines activities it intends to fund to help achieve the socio-economic objectives identified in section 2.2. This statement will outline the community priorities based on the First Fiscal Year Revenue Sharing Contribution. 6.1.2 Before the end of each BC Fiscal Year, Squamish Nation or its Designate will update the statement of community priorities identified in section 6.1.1 based on the updated Revenue Sharing Contribution described in section 3.5. 6.1.3 Within 90 days of the end of each BC Fiscal Year, Squamish Nation or its Designate will prepare an annual report, substantially in the form set out in Appendix F, identifying all expenditures made from the Payment Account since the date of the last such report (or, in the case of the first such report, since the Effective Date of this Agreement) and confirming that, aside from reasonable administrative expenses, all such expenditures were made for the purpose of accomplishing the purposes and objectives referred to in section 2.0. 6.1.4 British Columbia retains the right at its sole discretion, such discretion to be exercised reasonably, to require an audit of expenditures made from the Payment Account to ensure that all such expenditures were made for appropriate purposes under this Agreement, such audit to be at the expense of the Squamish Nation or its Designate. 6.1.5 The documents referred to in sections 6.1.1, 6.1.2, and 6.1.3 will be published by Squamish Nation or its Designate in a manner that can reasonably be expected to bring the information to the attention of its communities and the public. 6.1.6 The annual report referred to in section 6.1.3 will be provided to British Columbia within 120 days of the end of each BC Fiscal Year. 6.1.7 Notwithstanding the termination or expiry of this Agreement, Squamish Nation or its Designate will continue to comply with the provisions of section 6.1 until 120 days after it receives the last Revenue Sharing Contribution from British Columbia. 6.2 If Squamish Nation requires funding ("capacity") to engage in consultation processes on forest and range decisions, or with other provincial Ministries where Squamish Nation has entered into an SEA and/or RA with British Columbia,...

Community Priorities Annual Reports and Records. 6.1 shishalh Nation is responsible and accountable to its members through the provisions of the Sechelt Indian Band Constitution. By implementing shishalh Nation procedures already in place, shishalh Nation will prepare annual spending plans and annual reports for the Revenue Sharing Payments (the “Reports”), as part of the annual budgeting and reporting processes described in the Sechelt Indian Band Constitution. Subject to the Sechelt Indian Band Constitution, the Reports will be published by shishalh Nation in a manner that can reasonably be expected to bring the information to the attention of shishalh Nation members. 6.2 If requested by British Columbia, shíshálh Nation will provide a summary report substantially in the form set out in Appendix D regarding the projects or initiatives to which Revenue Sharing Payments have been allocated. 6.3 The report referred to in section 6.2 will be provided to British Columbia within 120 days. 6.4 Notwithstanding the termination or expiry of this Agreement, shíshálh Nation or its Designate will continue to comply with the provisions of section 6.1 until 120 days after it receives the last Revenue Sharing Contribution from British Columbia.

Community Priorities Annual Reports and Records. 6.1 Lake Xxxxxx will prepare a summary report substantially in the form set out in Appendix D regarding the projects or initiatives to which Revenue Sharing Payments may have been allocated in the previous fiscal year. 6.3 Lake Xxxxxx covenants and agrees that, in accordance with its existing annual planning and budgetary process, it will: 6.3.1. prepare an annual spending plan and annual report for the Revenue Sharing Contribution for the term of this Agreement; and 6.3.2. bring the annual spending plan and annual report for the Revenue Sharing Contribution to the attention of its members by publishing the information in Lake Xxxxxx’x annual audited financial statements.

  • Reports and Records The Custodian shall: 11.1 create and maintain records relating to the performance of its obligations under this Agreement; 11.2 make available to the Fund, its auditors, agents and employees, upon reasonable request and during normal business hours of the Custodian, all records maintained by the Custodian pursuant to Section 11.1 above, subject, however, to all reasonable security requirements of the Custodian then applicable to the records of its custody customers generally; and 11.3 make available to the Fund all Electronic Reports; it being understood that the Custodian shall not be liable hereunder for the inaccuracy or incompleteness thereof or for errors in any information included therein except to the extent that such inaccuracy, incompleteness or errors are the result of the Custodian's negligence, bad faith or willful misconduct. All such reports and records shall, to the extent applicable, be maintained and preserved in conformity with the 1940 Act and the rules and regulations thereunder. The Fund shall examine all records, howsoever produced or transmitted, promptly upon receipt thereof and notify the Custodian promptly of any discrepancy or error therein. Unless the Fund delivers written notice of any such discrepancy or error within a reasonable time after its receipt thereof, such records shall be deemed to be true and accurate. It is understood that the Custodian now obtains and will in the future obtain information on the value of assets from outside sources which may be utilized in certain reports made available to the Fund. The Custodian deems such sources to be reliable but it is acknowledged and agreed that the Custodian does not verify nor represent nor warrant as to the accuracy or completeness of such information and accordingly shall be without liability in selecting and using such sources and furnishing such information as long as the Custodian has shown due diligence in attempting to receive complete and accurate information.

  • Securities Reports Promptly after the sending or filing thereof, copies of all proxy statements, financial statements and reports that any Loan Party or any of its Subsidiaries sends to its stockholders, and copies of all regular, periodic and special reports, and all registration statements, that any Loan Party or any of its Subsidiaries files with the Securities and Exchange Commission or any governmental authority that may be substituted therefor, or with any national securities exchange.

  • Environmental Reports and Audits As soon as practicable following receipt thereof, copies of all environmental audits and reports with respect to environmental matters at any Facility or which relate to any environmental liabilities of Holdings or its Subsidiaries which, in any such case, individually or in the aggregate, could reasonably be expected to result in a Material Adverse Effect;

  • Documents, Records, etc All documents, records, data, apparatus, equipment and other physical property, whether or not pertaining to Confidential Information, which are furnished to the Executive by the Company or are produced by the Executive in connection with the Executive’s employment will be and remain the sole property of the Company. In any event, the Executive will return all such materials and property immediately upon termination of the Executive’s employment for any reason.   • Security of State Information The Contractor represents and warrants that it has implemented and it shall maintain during the term of this Contract the highest industry standard administrative, technical, and physical safeguards and controls consistent with NIST Special Publication 800-53 (version 3 or higher) and Federal Information Processing Standards Publication 200 and designed to (i) ensure the security and confidentiality of State Data; (ii) protect against any anticipated security threats or hazards to the security or integrity of the State Data; and (iii) protect against unauthorized access to or use of State Data. Such measures shall include at a minimum: (1) access controls on information systems, including controls to authenticate and permit access to State Data only to authorized individuals and controls to prevent the Contractor employees from providing State Data to unauthorized individuals who may seek to obtain this information (whether through fraudulent means or otherwise); (2) industry-standard firewall protection; (3) encryption of electronic State Data while in transit from the Contractor networks to external networks; (4) measures to store in a secure fashion all State Data which shall include multiple levels of authentication; (5) dual control procedures, segregation of duties, and pre-employment criminal background checks for employees with responsibilities for or access to State Data; (6) measures to ensure that the State Data shall not be altered or corrupted without the prior written consent of the State; (7) measures to protect against destruction, loss or damage of State Data due to potential environmental hazards, such as fire and water damage; (8) staff training to implement the information security measures; and (9) monitoring of the security of any portions of the Contractor systems that are used in the provision of the services against intrusion on a twenty-four (24) hour a day basis.

  • COPIES OF REGULATORY REPORTS AND FILINGS Upon reasonable request, Competitive Supplier shall provide to the Town a copy of each public periodic or incident-related report or record relating to this ESA which it files with any Massachusetts or federal agency regulating rates, service, compliance with environmental laws, or compliance with affirmative action and equal opportunity requirements, unless the Competitive Supplier is required by law or regulation to keep such reports confidential. The Town shall treat any reports and/or filings received from Competitive Supplier as confidential information subject to the terms of Article 16. Competitive Supplier shall be reimbursed its reasonable costs of providing such copies.
