Compensation Reports. For a period of one year following the Closing, Purchaser shall provide Seller with a list of the monthly compensation report for distributors in the Distribution Network, prior to the payment of such compensation to distributors, for purposes of reviewing the monthly compensation report as a consultant to Purchaser on a pro xxxx basis. Any such reports or information so delivered or disclosed to Seller shall be kept in the strictest of confidence.

Notwithstanding anything to the contrary, in the event that Verizon determines (in its sole discretion) that XxXxxxXxxxx.xxx is in breach of any obligation or covenant under this Agreement and such breach remains uncured (as determined by Verizon in its sole discretion) thirty (30) days after notice to XxXxxxXxxxx.xxx of such breach, in addition to and without waiving any other remedies available to Verizon, Verizon shall have no obligation to pay XxXxxxXxxxx.xxx any amounts under this Agreement until and unless such breach is cured and, if such breach is cured, Verizon shall be entitled to set off the damages it incurred as a result of such breach (as determined by Verizon in its sole discretion) from the amounts otherwise due to XxXxxxXxxxx.xxx hereunder. In the event that it is determined, by a court of competent jurisdiction, that Verizon wrongfully withheld payment of amounts pursuant to the foregoing provision of this Agreement, then any such wrongfully withheld amounts shall bear interest at the rate of one and one-half percent (1.5%) per month, until paid in full.

Compensation Reports. NBC will provide Consultant with a report of NBC Compensation received by NBC from a sale of NBC Products to a Consultant-designated Approved Prospect for which Consultant is entitled to receive compensation. Reports will be made to Consultant for each Consultant-designated Approved Prospect at such time as a payment is made to Consultant pursuant to the provisions of this Article 3. Under no circumstances shall Consultant have access to or right to inspect the books, ledgers, files, reports, operating records or any accounting, financial or other business information of NBC. In the event Consultant should dispute any compensation report after communications with NBC relevant to the information contained in such report, NBC will cause its independent auditors to supply Consultant with a statement of reconciliation which demonstrates the amount of payment made to Consultant was accurate. If an inaccuracy is found, the payment made to Consultant will be adjusted in accordance with the report made by the independent auditors. If the report made by the independent auditors discloses that the payment of compensation made to Consultant was accurate, then Consultant agrees to reimburse NBC for the cost of the report made by the independent auditors.

  • Attestation Reports (i) By March 15 of each year, commencing in March 2007, the Master Servicer, the Credit Risk Manager, the Paying Agent and the Securities Administrator, each at its own expense, shall cause, and each such party shall cause any Servicing Function Participant engaged by it to cause, each at its own expense, a registered public accounting firm (which may also render other services to the Master Servicer, the Credit Risk Manager, the Paying Agent and the Securities Administrator, as the case may be) that is a member of the American Institute of Certified Public Accountants to furnish a report to the Sponsor, the Depositor, the Master Servicer and the Securities Administrator, to the effect that (A) it has obtained a representation regarding certain matters from the management of such party, which includes an assertion that such party has complied with the Relevant Servicing Criteria, and (B) on the basis of an examination conducted by such firm in accordance with standards for attestation engagements issued or adopted by the PCAOB, it is expressing an opinion as to whether such party’s compliance with the Relevant Servicing Criteria was fairly stated in all material respects, or it cannot express an overall opinion regarding such party’s assessment of compliance with the Relevant Servicing Criteria. In the event that an overall opinion cannot be expressed, such registered public accounting firm shall state in such report why it was unable to express such an opinion. Such report must be available for general use and not contain restricted use language.

  • Compensation Recovery Policy Executive acknowledges and agrees that, to the extent the Company adopts any claw-back or similar policy pursuant to the Xxxx-Xxxxx Xxxx Street Reform and Consumer Protection Act or otherwise, and any rules and regulations promulgated thereunder, he or she shall take all action necessary or appropriate to comply with such policy (including, without limitation, entering into any further agreements, amendments or policies necessary or appropriate to implement and/or enforce such policy with respect to past, present and future compensation, as appropriate).

  • Services and Compensation Consultant agrees to perform for the Company the services described in Exhibit A (the “Services”), and the Company agrees to pay Consultant the compensation described in Exhibit A for Consultant’s performance of the Services.
