Compliance Remediation. Except with respect to the Excluded Assets or Retained Liabilities, prior to the Closing, Sellers shall use reasonable best efforts to, and shall use reasonable best efforts to cause their Subsidiaries to use their reasonable best efforts to, cure in all material respects any instances of non-compliance with Laws or Orders, failures to possess or maintain Permits or defaults under Permits.

Compliance Remediation. Vendor shall notify Company no later than five business days after determining that it can no longer meet its obligations under applicable U.S. State Privacy Laws. Upon receiving notice from Vendor in accordance with this subsection, Company may direct Vendor to take reasonable and appropriate steps to stop and remediate unauthorized use of Company Personal Data.
Compliance Remediation. Vortexa shall promptly notify Customer after determining that it can no longer meet its obligations under applicable U.S. Privacy Laws. Upon receiving notice from Vortexa in accordance with this section, Customer may direct Vortexa to take reasonable and appropriate steps to stop and remediate unauthorized use of Customer Personal Data.
Compliance Remediation. Prior to the Closing, the DC Contributors shall cause the Company and the Company Subsidiaries to use their reasonable best efforts to cure in all material respects any one or more instances of non-compliance with Laws or Governmental Orders, failures to possess or maintain Permits, or defaults under Permits, referred to in item 6 of Section 3.10 of the DC Contributors Disclosure Schedule, such that the representations and warranties set forth in Section 3.10 of this Agreement, after giving effect to such cures, would be true and correct in all material respects on a prospective basis without regard to the exceptions to such representations and warranties set forth in item 6 of Section 3.10 of the DC Contributors Disclosure Schedule.

Compliance Remediation. 51. Upon identifying and confirming that traders located in Ontario were engaging in fixed income trading on its MTF, the Respondents have:
(a) developed and implemented a new technological control designed to close the controls gap that failed to prevent traders located in Ontario from trading fixed income on the Respondents’ MTFs; and
(b) developed and implemented a new internal tool for documenting and communicating asset class restrictions by jurisdiction.
52. The Respondents continue to make investments in their compliance program and technological controls and are evaluating certain additional remedial steps to take to strengthen their compliance programs. These further steps will be detailed in the internal review referenced at paragraph 62(b).
Compliance Remediation. Domo shall promptly notify Subscriber if it determines that it can no longer meet its obligations under applicable State Privacy Laws. Upon receiving notice from Domo in accordance with this Section 3.4, Subscriber may direct Domo to take reasonable and appropriate steps to stop and remediate unauthorized use of Subscriber Personal Data.
Compliance Remediation. RevComm shall notify Customer no later than five business days based on business days in Japan after determining that it can no longer meet its obligations under the GDPR. Upon receiving notice from RevComm in accordance with this subsection, Customer may direct RevComm to take reasonable and appropriate steps to stop and remediate unauthorized use of Customer Personal Data.
