Compliance with Laws and Government Regulations. 16.5.1 Licensee shall observe all applicable United States and foreign laws and regulations with respect to the research, development, manufacture, marketing and transfer of Licensed Products and related technical data, including, without limitation, the International Traffic in Arms Regulations (ITAR) and the Export Administration("Export Laws"). To this end, the Licensee shall cooperate with Licensor as reasonably necessary to permit Licensor to comply with the Export Laws. The Licensee hereby represents and covenants that the Licensee: (a) is neither a national of nor controlled by a national of any country to which the United States prohibits the export or re-export of goods, services, or technology; (b) is not a person specifically designated as ineligible to export from the United States or deal in U.S.-origin goods, services, or technologies; (c) will not export or re-export, directly or indirectly, any goods, services, or technology, to any country or person (including juridical persons) to which the United States prohibits the export of goods, technology, or services; and (d) in the event that a U.S. government license or authorization is required for an export or re-export of goods, services, or technology (including technical information acquired from Licensor under this Agreement and/or any products created by using such technical information or any part thereof), the Licensee shall obtain any necessary U.S. government license or other authorization prior to undertaking the export or re-export.
16.5.2 Notwithstanding any provision in this Agreement, Licensor disclaims any obligation or liability arising under the license provisions of this Agreement if the Licensee is charged in a governmental action for not complying with or fails to comply with governmental regulations in the course of taking steps to bring any Product to a point of practical application. The Licensee shall comply upon reasonable notice from Licensor with all governmental requests directed to either Licensor or the Licensee and provide all information and assistance necessary to comply with the governmental requests.
Compliance with Laws and Government Regulations. 11.1 At all times during the Term of this Agreement, Customer shall comply with all applicable laws, rules and regulations relating to or affecting the performance of its obligations under this Agreement. Customer shall secure and maintain, at its sole expense, all licenses and authorizations from all governmental agencies necessary for the performance of its obligations under this Agreement, including without limitation, registering or filing this Agreement, if required, with the appropriate governmental agency. One takes no representation as to whether any license, regulatory or other approvals required by Customer to use the Service will be granted.
11.2 One shall comply with all applicable laws, rules and regulations relating to or affecting the performance of its obligations under this Agreement. One shall secure and maintain, at its sole expense, all licenses and authorizations from all local governmental agencies necessary for the performance of its obligations under this Agreement.
11.3 Each Party agrees that it shall comply with all export requirements in connection with its performance under this Agreement. Regardless of any disclosure made by Customer to One of an ultimate destination of the Licensed Software, Hardware, or technical data acquired from One and, notwithstanding anything contained in this Agreement to the contrary, Customer will not modify, export, or re-export, either directly or indirectly, any Licensed Software, Hardware, or technical data, or portions thereof, without first obtaining any and all necessary licenses from the government or agencies thereof or any other country that requires an export license or other governmental approval at the time of modification, export, or re-export. One shall have the right to suspend performance of any of its obligations under this Agreement, without any prior notice being required and without any liability to Customer if Customer fails to comply with this provision.
Compliance with Laws and Government Regulations. (a) Distributor shall at its own expense obtain and maintain any and all governmental approvals required in the Territory for the performance of the terms and conditions of this Agreement. Distributor warrants and represents that the Products may be imported into the Territory under the current laws of the Territory.
(b) Distributor shall provide Visio with copies of any and all governmental approvals and registrations that it obtains in regard to this Agreement and the Products.
(c) If any necessary governmental approvals are not or cannot be obtained within a reasonable time and in a form and substance satisfactory to Visio, Visio may terminate this Agreement and upon receipt of notice of termination by Distributor, this Agreement shall be null, void and of no effect.
