Comply with Cybersecurity Requirements. Contractor shall design, develop, and integrate cybersecurity (to include, but not limited to, all hardware, software and/or equipment) IAW the DoD, Department of the Army (DA), U.S. Army Network Enterprise Center (NEC), and other applicable Government Agencies. This work shall be done IAW all applicable cybersecurity Regulations and Directives, as provided in this PWS and the individual task order. Any equipment provided that is subject to the DoD Unified Capabilities Requirements shall be listed on the DoD Information Network Approved Products List (DoDIN APL). 5.2.21.1 The systems (to include, but not limited to, all hardware, software and/or equipment) provided by Contractor shall be able to obtain a favorable Authority to Operate (ATO) to all requisite Government networks. Contractor shall perform all cybersecurity activities associated with Technical Exhibit 2, “Cybersecurity Requirements”. 5.2.21.2 Contractor shall provide cybersecurity that is IAW current policies, procedures, and statutes, to include (but not limited to) the following:

Comply with Cybersecurity Requirements. Prepare and provide system cybersecurity configuration specifications as defined in UFC 4-010-06 Cybersecurity for Facility-Related Control Systems, with Change 1and UFGS 25-05-11 Cybersecurity for Facility-Related Control System, and / or latest Corps of Engineers technical guidance or other authoritative DoD and / or Federal agency. Provide system, security, and network engineering services, RMF (Assess Only or Assess and Authorize) process services, project specifications, and deliverables to support system owner required cybersecurity activities to obtain operational and/or connection approvals. Cybersecurity requirements will be further clarified by individual Task Order level Performance Work Statements. Refer to Appendix B for additional clarification on task order level requirements.

  • Transfer to Comply with the Securities Act This Warrant, and the Warrant Shares, have not been registered under the 1933 Act. This Warrant, the Warrant Shares and any other security issued or issuable upon exercise of this Warrant may only be sold, transferred, pledged or hypothecated (other than to an Affiliate) if (a) there exists an effective registration statement under the 1933 Act relating to such security or (b) the Company has received an opinion of counsel reasonably satisfactory to the Company that registration is not required under the 1933 Act. Until such time as registration has occurred under the 1933 Act, each certificate for this Warrant, the Warrant Shares and any other security issued or issuable upon exercise of this Warrant shall contain a legend, in form and substance satisfactory to counsel for the Company, setting forth the restrictions on transfer contained in this Section 7. Any such transfer shall be accompanied by a transferor assignment substantially in the form attached to this Warrant as Exhibit B (the “Transferor Assignment”), executed by the transferor and the transferee and submitted to the Company. Upon receipt of the duly executed Transferor Assignment, the Company shall register the transferee thereon as the new Holder on the books and records of the Company and such transferee shall be deemed a “registered holder” or “registered assign” for all purposes hereunder, and shall have all the rights of the Holder.

  • Failure to Comply with the 1934 Act So long as the Buyer beneficially owns the Note, the Company shall comply with the reporting requirements of the 1934 Act; and the Company shall continue to be subject to the reporting requirements of the 1934 Act.

  • E-Verify Requirements To the extent applicable under ARIZ. REV. STAT. § 41- 4401, the Contractor and its subcontractors warrant compliance with all federal immigration laws and regulations that relate to their employees and their compliance with the E-verify requirements under ARIZ. REV. STAT. § 23-214(A). Contractor’s or its subcontractor’s failure to comply with such warranty shall be deemed a material breach of this Agreement and may result in the termination of this Agreement by the City.

  • Security Requirements 7.1 The Authority will review the Contractor’s Security Plan when submitted by the Contractor in accordance with the Schedule (Security Requirements and Plan) and at least annually thereafter.

  • Joint Funded Project with the Ohio Department of Transportation In the event that the Recipient does not have contracting authority over project engineering, construction, or right-of-way, the Recipient and the OPWC hereby assign certain responsibilities to the Ohio Department of Transportation, an authorized representative of the State of Ohio. Notwithstanding Sections 4, 6(a), 6(b), 6(c), and 7 of the Project Agreement, Recipient hereby acknowledges that upon notification by the Ohio Department of Transportation, all payments for eligible project costs will be disbursed by the Grantor directly to the Ohio Department of Transportation. A Memorandum of Funds issued by the Ohio Department of Transportation shall be used to certify the estimated project costs. Upon receipt of a Memorandum of Funds from the Ohio Department of Transportation, the OPWC shall transfer funds directly to the Ohio Department of Transportation via an Intra- State Transfer Voucher. The amount or amounts transferred shall be determined by applying the Participation Percentages defined in Appendix D to those eligible project costs within the Memorandum of Funds. In the event that the Project Scope is for right-of-way only, notwithstanding Appendix D, the OPWC shall pay for 100% of the right-of-way costs not to exceed the total financial assistance provided in Appendix C.

  • Blue Sky Requirements The Company shall provide counsel to the Representative with ten copies of all proxy information and all related material filed with the Commission in connection with a Business Combination concurrently with such filing with the Commission. In addition, the Company shall furnish any other state in which its initial public offering was registered, such information as may be requested by such state.
