Work Statements. Each Work Statement will continue for a term equal to the period stated on the Work Statement, unless otherwise terminated under the terms of this Agreement. Completion of work under any specific Work Statement will not terminate this Agreement.

Work Statements. The Services will be described in one or more Work Statements. As of the Effective Date, the parties are entering into Work Statement No. 1 attached as Appendix III. From time to time during the Term, the parties may enter into additional Work Statements for the performance of Services. Each Work Statement will be signed by each party and will be governed by this agreement.

Work Statements. (a) From time to time, GMACI may request and AmTrust may agree to develop other Deliverables or provide additional Services to GMACI. The parties shall negotiate and execute a new Work Statement describing the Services and/or Deliverables to be provided and any other terms and conditions applicable to such Work Statement, with the exception of the Development Fee, which shall be as provided pursuant to Section 9.1(a) hereof, for all Deliverables hereunder. (b) A Work Statement may only be modified or amended in a Work Statement amendment executed by a duly authorized representative of each of GMACI and AmTrust, which amendment shall set forth, if applicable, the proposed change, and the expected effects, if any, the change will have on the project cost, schedule and other matters. (c) Unless otherwise provided in an applicable Work Statement, GMACI’s Affiliates and their respective employees are entitled to use the Deliverables and/or Services identified in a Work Statement in accordance with this Agreement and are entitled to all rights, benefits, and protections granted to GMACI pursuant to this Agreement with respect to such Deliverables and/or Services. GMACI is responsible for compliance by its Affiliates with the terms and conditions set forth in this Agreement unless otherwise specified in a Work Statement. Additionally, GMACI’s Affiliates may contract directly with AmTrust for Services by executing a Work Statement subject to the terms and conditions of this Agreement, except that all references to “GMACI” in the Agreement shall mean the Affiliate that executes the Work Statement.

Work Statements. 2.1 This Agreement contains general terms and conditions under which Customer may engage Brammer to provide, and Brammer would provide, Services. Customer and Brammer will complete and execute an initial Work Statement as Exhibit A before any Services are provided. Each Work Statement will include, as appropriate, a description that specifies the Program, the scope of the Services under such Program, the estimated duration of the Program, and all other matters pertinent to completion of the Program, and, once executed by both Parties, such Work Statement will be deemed a part of this Agreement and incorporated herein by reference. To the extent any terms or provisions of a Work Statement conflict with the terms and provisions of this Agreement, the terms and provisions of this Agreement will control, except to the extent that the applicable Work Statement expressly states an intent to modify the terms of this Agreement on a specific matter. The Parties may amend a Work Statement by agreement in writing from time to time during the term of this Agreement. 2.2 The Parties envisage that they will enter into two Work Statement(s) in connection with this Agreement, with the second Work Statement covering Part 2 of the program of work, as set out in outline in Work Statement 1. Work Statements. During the term of this Agreement, KMC may propose, and Gen-Probe may request, Scope Changes by delivering to the other party a proposed "Work Statement." Work Statements. 2.6.1 To the extent required under a Work Plan or otherwise as mutually agreed upon by the parties, MAXIMUS and Accenture shall draft mutually agreed upon work statements, which shall be attached hereto and incorporated herein. Each work statement shall detail the technical services to be performed by MAXIMUS, the service levels to which those services are to be performed, and the price of the services. MAXIMUS will make good faith efforts to identify and assign MAXIMUS employees who (i) have the technical and professional skills required by Accenture, (ii) are able to provide the kinds of services desired by Accenture, and (iii) if specifically set forth on the relevant work statement, who can provide such services for the term desired by Accenture. 2.6.2 Accenture may terminate any work statement upon 30 days’ written notice to MAXIMUS if the State terminates the Prime Contract in whole or in part with respect to the services contained in the Work Statement(s); provided, however, should termination be based on good cause, Accenture may terminate the corresponding work statement(s) upon written notice to MAXIMUS in accordance with the terms of this Agreement. Such notice shall include a reason for the termination of the work statement by Accenture. Accenture shall have the same rights of termination in the event that MAXIMUS provides resources without a work statement (e.g., during the initial transition period).

Work Statements. 3.1 The specific details of each Project shall be separately negotiated and specified in a Work Statement. Each Work Statement will include, as appropriate, the scope of work, Work Programme, and Budget and payment schedule. Each Work Statement shall be subject to all of the terms and conditions of this Agreement, in addition to the specific details set forth in the Work Statement. 3.2 To the extent any terms or provisions of a Work Statement conflict with the terms and provisions of this Agreement, the terms and provisions of a Work Statement shall prevail. All Work Statements and the DPA (where applicable) shall be deemed to be incorporated herein by reference. The DPA shall have precedence over all other contract documents.
