Compulsory Disclosures. If the Executive is requested or (in the opinion of his or her counsel) required by law or judicial order to disclose any Confidential Information, the Executive shall provide the Company with prompt notice of any such request or requirement so that the Company may seek an appropriate protective order or waiver of the Executive’s compliance with the provisions of this Section 6.
Compulsory Disclosures. If the Employee is requested or (in the opinion of his counsel) required by law or judicial order to disclose any Confidential Information, the Employee shall provide the Employer with prompt notice of any such request or requirement so that the Employer may seek an appropriate protective order or waiver of the Employee's compliance with the provisions of this Section 5(a). The Employee will not oppose any reasonable action by, and will cooperate with, the Employer to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded the Confidential Information. If, failing the entry of a protective order or the receipt of a waiver hereunder, the Employee is, in the opinion of his counsel, compelled by law to disclose a portion of the Confidential Information, the Employee may disclose to the relevant tribunal without liability hereunder only that portion of the Confidential Information which counsel advises the Employee he is legally required to disclose, and each of the parties hereto agrees to exercise such party's best efforts to obtain assurance that confidential treatment will be accorded such Confidential Information. During the Employment Period, and for matters arising from events or circumstances occurring during the Employment Period, the Employer will provide for the defense of matters arising under this provision.
Compulsory Disclosures. The obligations of confidentiality in this clause do not apply to a receiving party where the receiving party is required under the lawful compulsion of any court, tribunal, authority or regulatory body to disclose any Confidential Information of the other party. Provided that before a party discloses any Confidential Information pursuant to the foregoing it must provide the other party with reasonable notice to enable it to seek a protective court order or other remedy in respect of the Confidential Information, and it must provide the other party with all assistance and co operation which the other party considers necessary to obtain such protective court order or other remedy.

Except as expressly prohibited by court order, if Employee is requested or required by law, rule, regulation or judicial order to disclose any Confidential Information, Employee will provide Employer with prompt written notice of any such request or requirement so that Employer may seek an appropriate protective order or waiver of Employee’s compliance with the provisions of this Section 11. Employee will not oppose any reasonable action by, and will cooperate with, Employer, at Employer’s expense, to obtain an appropriate protective order or other reliable assurance that confidential treatment will be accorded to the Confidential Information. If, failing the entry of a protective order or the receipt of a waiver hereunder, Employee is compelled by law, rule, regulation or judicial order to disclose a portion of the Confidential Information, Employee may disclose without liability hereunder only that portion of the Confidential Information and only to the extent which Employee is legally required to disclose.

If, failing the entry of a protective order or the receipt of a waiver hereunder, the Executive is, in the opinion of his or her counsel, compelled by law to disclose a portion of the Confidential Information, the Executive may disclose to the relevant tribunal without liability hereunder only that portion of the Confidential Information which counsel advises the Executive he or she is legally required to disclose, and each of the parties hereto agrees to exercise such party’s best efforts to obtain assurance that confidential treatment will be accorded to such Confidential Information.

Compulsory Disclosures. If the Receiving Party or its Representatives is required or becomes legally compelled to disclose any of the Confidential Information pursuant to a regulation, law or court order, it will provide the Disclosing Party with prompt written notice so the Disclosing Party may seek appropriate protective orders. If a protective order or other remedy is not obtained, then only that part of the Confidential Information that is legally required to be furnished will be furnished, and reasonable efforts will be made to obtain reliable assurances of confidentiality.
Compulsory Disclosures. In the event that any Party (or any of their respective Affiliates) shall be legally compelled or required by a court of competent jurisdiction to disclose all or any part of the Confidential Information of another Party (or its Affiliates), it shall provide prompt notice to the other so that such other Party (or its Affiliates) may determine whether or not to seek a protective order or any other appropriate remedy. If a protective order or other appropriate remedy is not obtained before such disclosure is required, the Party required to make disclosure will disclose only those portions of the Confidential Information in question which it is advised by written opinion of counsel (which opinion shall be addressed to such Party and to the other Party), it is legally required to disclose and will exercise its best efforts to obtain reliable assurances that confidential treatment will be accorded such Confidential Information.
Compulsory Disclosures. In the event that the Custodian or its Representatives are compelled by applicable law, rule, regulation or court process to disclose any of the Confidential Information or the Derivative Materials, the Custodian shall provide the Fund with written notice of such requirement, to the extent not prohibited by applicable law, rule, regulation or court process, as soon as practicable so that the Fund may seek, at its expense, a protective order or other appropriate remedy and/or waive the Custodian’s compliance with the terms of this Agreement. In the event that such protective order or other remedy is not obtained, or compliance with this Agreement is not waived, the Custodian or its Representatives shall be permitted to furnish that portion of the Confidential Information and the Derivative Materials which its counsel advises in writing is legally required, and shall exercise commercially reasonable efforts to obtain confidential treatment of such Confidential Information and such Derivative Materials.
Compulsory Disclosures. If Officer is requested, or if in the opinion of his counsel, is required by law or judicial order to disclose any Confidential Information, Officer shall provide Victory with prompt notice of any such request or requirement so that Victory may seek an appropriate protective order or waiver of Officer’s compliance.
