Condition Precedent to Payment. As a condition precedent to receiving the payment set forth in this Article 5.3.1, Contractor shall deliver to the Owner all papers, documents, assignments and agreements relating to the Project, in particular the Contract Documents (including ownership and copyright thereof) as set forth in Article 1.1.7, Paragraphs 1.1.9.17 and 2.2.1.8.

It shall be a condition precedent to payment of any invoice from Design Professional that Design Professional is in compliance with, and not in breach or default of, all terms, covenants and conditions of this Agreement. If damages are sustained by City as a result of breach or default by Design Professional, City may withhold payment(s) to Design Professional for the purpose of offset until such time as the exact amount of damages due City from Design Professional may be determined.
2. No request for payment will be processed unless the request is in proper form, correctly computed, accompanied by a monthly status report, and is approved as payable under Agreement. City is not liable for any obligation incurred by Design Professional except as approved under the provisions of this Agreement.
3. No request for payment will be processed unless it is accompanied by a copy of the most recent 00485.01 M/WBE Monthly Utilization Report submitted to the City’s Human Relations Department.

3. No request for payment will be processed unless it is accompanied by a copy of the most recent 00485.01 M/WBE Monthly Utilization Report submitted to the City’s Human Relations Department.
Condition Precedent to Payment. It is a condition precedent to any payment to the Contractor of any outstanding amount as at the date of termination that the Contractor has fully complied with its obligations under clause 10.4.

3. No request for payment will be processed unless it is accompanied by a copy of the most recent Audit Report submitted to CREO KC through the B2G on-line reporting system.
Condition Precedent to Payment. Developer shall, as a condition precedent to the payment of any Grant, provide the City with a Payment Request on the letterhead of Developer, to include copies of any studies or documentation necessary to complete the submission to TxDOT and to obtain a FONSI and detailed invoices and/or, payment requei:ts from Developers prime consultant.
Condition Precedent to Payment. As a condition precedent to VIScorp's obligation to pay the first installment of the Purchase Price, Administrator shall submit an original opinion letter bearing the date of the presentation of the Bank Guarantee from Patent Attorneys Xxxxx, Luderschmidt & Partner, Wiesbaden, which confirms that the Industrial Property Rights purchased by VIScorp are currently registered and in good standing and are not the subject of cancellation or annulment proceedings nor that such proceedings have been threatened by any third party. In addition, the patent attorneys will confirm that any Industrial Property Rights not already registered in the name of Escom are currently on application for assignment to Escom and that they have no knowledge of any hindrances or other impediments which would prevent transfer of the registration to Escom. In the event Administrator is unable to submit the above opinion letter containing the stated confirmations on the date the first installment payment becomes due, VIScorp and the Administrator shall be entitled to issue the other party written notice of its intention to rescind this Agreement and such rescission shall become effective upon expiration of fourteen (14) days following receipt of the notice by the other party.
Condition Precedent to Payment. As a condition precedent to receiving the payment set forth in this Article 1.7.2, Construction Manager shall deliver to the Owner all papers, documents and agreements relating to the Project and if requested shall assign to the Owner or to an entity of Owner's choice all of Construction Manager's contractual rights in respect thereof, so that the assignee shall be fully vested with all rights and benefits of Construction Manager under such papers, documents and agreements, together with releases and waivers of lien in the same manner as would be required upon Final Completion.
