Conditions of Administration. The Parties agree to cause the Conditions of Administration to be amended and restated as set forth in Annex B to this Amended and Restated Amendment No. 1 (the "Second Amended and Restated Conditions of Administration") promptly upon the execution of this Amended and Restated Amendment No. 1. The Parties acknowledge and agree that certain provisions of the Agreement as amended by this Amended and Restated Amendment No. 1, including without limitation Section 8.12(b) (including the limitations set forth therein) of the Agreement as well as the definition of Financing Arrangement, are not reflected in the Second Amended and Restated Conditions of Administration; to the extent there are differences or inconsistencies between the Agreement as amended hereby and the Second Amended and Restated Conditions of Administration, the provisions of the Agreement as amended hereby shall prevail between the Parties, notwithstanding anything else to the contrary in the Second Amended and Restated Conditions of Administration.
