Conditions of the Investor’s Obligations. The obligations of the Investors to purchase the shares of Redeemable Convertible Preferred Stock set forth on Schedule I attached hereto at the Closing are subject to the fulfillment prior to the Closing Date of all of the following conditions, any of which may be waived in whole or in part by the Investors in their sole discretion.
