Conditions Precedent to Effectiveness of Second Amendment. The effectiveness of the Second Amendment was subject to the satisfaction of the conditions precedent set forth in the Second Amendment.

This Second Amendment shall become effective as of the Business Day (the “Second Amendment Effective Date”) when each of the following conditions precedent shall have been satisfied in a manner reasonably satisfactory to the Agents (or, if a specific Agent is identified below, such Agent) and the Lenders:

This Second Amendment shall become effective (the "Second Amendment Effective Date") upon completion of each of the following in form and substance satisfactory to Lender: (a) execution and delivery of this Second Amendment by Lender, Borrowers and Parent; (b) execution and delivery by Borrower of the Florida Mortgage Additional Term Note, Allonge to Term Note and Allonge to Revolving Note; (c) the delivery by Borrower of copies of the resolutions of the board of directors of each Borrower authorizing the transactions contemplated hereby, certified as of the date hereof by the Secretary or an Assistant Secretary thereof; and (d) delivery by Borrower of such other documents as the Lender may reasonably request.

The Second Amendment shall become effective as of the date hereof upon receipt by Agent Bank of the following documents and payments, in each case in a form and substance reasonably satisfactory to Agent Bank, and the occurrence of each other condition precedent set forth below:
Conditions Precedent to Effectiveness of Second Amendment. The effectiveness of this Second Amendment is conditioned on the occurrence of each of the following: (1) Landlord owning fee simple title in and to the Additional Property, (2) Landlord being the assignee of RML’s right, title, and interest in and to the Raw Land Lease, including, without limitation, the Seven Thousand Dollar ($7,000) security deposit Tenant submitted to RML thereunder, (3) Landlord and Tenant entering into the Lease Termination Agreement concurrently with this Second Amendment; and (4) Landlord having obtained all necessary building permits to construct the Additional Improvements. If the conditions set forth in the immediately preceding are not satisfied by the date that is forty-five (45) days after the date of this Second Amendment, this Second Amendment shall become automatically terminated, and be of no further force or effect. 2.
