Conditions Precedent to Effectiveness of Second Amendment. This Second Amendment shall become effective as of the Business Day (the “Second Amendment Effective Date”) when each of the following conditions precedent shall have been satisfied in a manner reasonably satisfactory to the Agents (or, if a specific Agent is identified below, such Agent) and the Lenders:
