Conditions to Seller Parties’ Obligation to Close. The Seller Parties’ obligations to consummate the transactions contemplated by this Agreement shall be subject to the satisfaction or written waiver by the Seller Parties on or prior to the Closing Date of all of the following conditions:

Conditions to Seller Parties’ Obligation to Close. The obligation of Seller to consummate the transactions to be performed by them in connection with Closing is subject to satisfaction of the following conditions at or prior to Closing: (i) the representations and warranties set forth in Article 5 shall be true and correct at and as of the Closing Date; (ii) Purchaser shall have performed and complied with all of its covenants hereunder; (iii) Purchaser shall execute and deliver those closing deliverables referenced in Section 3.2(b); and (iv) all actions to be taken by Purchaser in connection with consummation of the Contemplated Transactions and all documents required to effect the Contemplated Transactions will be satisfactory in form and substance to Seller Parties.
