CONFERENCE CENTER, AUDITORIUM AND CAFETERIA. (a) Subject to Section 7.02(b) hereof, Tenant shall have non-exclusive use of: (i) the Conference Center located on the colonnade level of the Building (the "CONFERENCE CENTER") and the Auditorium located on the level below the colonnade level of the Building (the "Auditorium", the Conference Center and the Auditorium, each a "FACILITY"); PROVIDED, HOWEVER, that (A) Tenant's use and access to each Facility shall be subject to the Building Rules (including PART III of EXHIBIT "C" hereto), and (B) Tenant shall pay to Landlord within fifteen (15) Business Days after Landlord's demand therefor Landlord's then established charge for the use of such Facility (which charge Landlord agrees shall be the amount Landlord charges to clients of Landlord for such use); and (ii) a food service facility, which presently is a cafeteria located on the colonnade level of the Building, but in the future may be a larger or smaller facility, the scope, size and service to be determined solely in the judgment and discretion of Landlord so long as the same does not merely consist of vending machines (the "FOOD FACILITY"); PROVIDED, HOWEVER, that (A) Tenant and Tenant's employees shall be charged the then current prices for food and beverages in the Food Facility, which prices shall not exceed the prices charged to other patrons of the Food Facility (including Landlord and Landlord's employees) and (B) Tenant shall pay to Landlord Tenant's Share of Landlord's net operating losses ("NET OPERATING LOSSES") for the operation of the Food Facility provided that Tenant's Share of Net Operating Losses shall not exceed $5,000 per year (as the same may be adjusted by changes in the Index (as defined and in the manner described in SECTION 4.02 hereof)). Contemporaneously with Landlord's delivery of Landlord's Statement pursuant to SECTION 5.02(C) hereof, Landlord shall deliver to Tenant a reasonably detailed statement of Landlord's Net Operating Losses for the previous calendar year and Tenant shall pay to Landlord Tenant's Share of the Net Operating Losses (subject to the cap described above) within fifteen (15) Business Days of receipt thereof. (b) Notwithstanding anything to the contrary set forth in SECTION 7.02(A) hereof, (i) Landlord shall have the right to terminate Tenant's rights under SECTION 7.02(A) with respect to any or both Facilities (it being agreed that this SECTION 7.02(B)(I) shall not apply to the Food Facility but SECTION 7.02(B)(II) shall apply to the Food Facility) at ...

  • Emergency Mode Operation Plan Contractor must establish a documented plan to enable continuation of critical business processes and protection of the security of electronic County PHI or PI in the event of an emergency. Emergency means any circumstance or situation that causes normal computer operations to become unavailable for use in performing the work required under this Agreement for more than twenty-four (24) hours.

  • Infrastructure Vulnerability Scanning Supplier will scan its internal environments (e.g., servers, network devices, etc.) related to Deliverables monthly and external environments related to Deliverables weekly. Supplier will have a defined process to address any findings but will ensure that any high-risk vulnerabilities are addressed within 30 days.

  • Access Toll Connecting Trunk Group Architecture 9.2.1 If ECI chooses to subtend a Verizon access Tandem, ECI’s NPA/NXX must be assigned by ECI to subtend the same Verizon access Tandem that a Verizon NPA/NXX serving the same Rate Center Area subtends as identified in the LERG. 9.2.2 ECI shall establish Access Toll Connecting Trunks pursuant to applicable access Tariffs by which it will provide Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic to and from ECI’s Customers. 9.2.3 The Access Toll Connecting Trunks shall be two-way trunks. Such trunks shall connect the End Office ECI utilizes to provide Telephone Exchange Service and Switched Exchange Access to its Customers in a given LATA to the access Tandem(s) Verizon utilizes to provide Exchange Access in such LATA. 9.2.4 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access to allow ECI’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier which is connected to a Verizon access Tandem.

  • Office Visits (other than Preventive Care Services) This plan covers office and clinic visits to diagnose or treat a sickness or injury. Office visit copayments differ depending on the type of provider you see. This plan covers physician visits in your home if you have an injury or illness that: • confines you to your home; or • requires special transportation; and • because of this injury or illness, you are physically unable to travel to the provider’s

  • Configuration Management The Contractor shall maintain a configuration management program, which shall provide for the administrative and functional systems necessary for configuration identification, control, status accounting and reporting, to ensure configuration identity with the UCEU and associated cables produced by the Contractor. The Contractor shall maintain a Contractor approved Configuration Management Plan that complies with ANSI/EIA-649 2011. Notwithstanding ANSI/EIA-649 2011, the Contractor’s configuration management program shall comply with the VLS Configuration Management Plans, TL130-AD-PLN-010-VLS, and shall comply with the following:

  • Site Visits ‌ The Commission may visit the School at any time and may, at its discretion, conduct site visits and monitoring. When appropriate, the Commission shall make reasonable efforts to provide notice of visits. Such site visits may include any activities reasonably related to fulfillment of the Commission’s oversight responsibilities including, but not limited to, inspection of the facilities; audit of financial books and records; inspection of records maintained by the School; interviews and observations of the principal, staff, school families, staff of an affiliated nonprofit or educational service provider and community members; and observation of classroom instruction.

  • Site Visit 7.1 The Tenderer, at the Tenderer's own responsibility and risk, is encouraged to visit and examine and inspect the Site of the Required Services and its surroundings and obtain all information that may be necessary for preparing the Tender and entering in to a contract for the Services. The costs of visiting the Site shall beat the Tenderer's own expense.

  • Emergency Room Services This plan covers services received in a hospital emergency room when needed to stabilize or initiate treatment in an emergency. If your condition needs immediate or urgent, but non-emergency care, contact your PCP or use an urgent care center. This plan covers bandages, crutches, canes, collars, and other supplies incidental to your treatment in the emergency room as part of our allowance for the emergency room services. Additional services provided in the emergency room such as radiology or physician consultations are covered separately from emergency room services and may require additional copayments. The amount you pay is based on the type of service being rendered. Follow-up care services, such as suture removal, fracture care or wound care, received at the emergency room will require an additional emergency room copayment. Follow- up care services can be obtained from your primary care provider or a specialist. See Dental Services in Section 3 for information regarding emergency dental care services.

  • Quality Management System Supplier hereby undertakes, warrants and confirms, and will ensue same for its subcontractors, to remain certified in accordance with ISO 9001 standard or equivalent. At any time during the term of this Agreement, the Supplier shall, if so instructed by ISR, provide evidence of such certifications. In any event, Supplier must notify ISR, in writing, in the event said certification is suspended and/or canceled and/or not continued.
