Confidentiality and Work Product. Employee acknowledges that during his employment with the Company he has had and will have access to confidential information, knowledge, and data regarding the business of the Company and Company Affiliates, whether received, acquired or developed by him or otherwise, including, without limitation, trade secrets, design information, software programs, research methods and techniques, scientific data and formulae, pricing data, customer information and all other information or data relevant to the business of the Company (collectively, except any of the foregoing which is at the time generally known to the public and which did not become generally known through the breach of any agreement restricting its disclosure, "Proprietary Information"). Employee further acknowledges that in the course of his employment he may be producing designs, analyses, recommendations, reports, complications, software, studies and other worth product, acquiring information on behalf of the Company and any conceive of ideas, innovations, processes and improvements relating to the business of the Company (collectively, "Work Product"). As to the ownership, disclosure and use of Proprietary Information and Work Product, Employee agrees that, from and after the date hereof:
Confidentiality and Work Product. During the term of this Agreement and thereafter without limitation of time, Executive shall not knowingly divulge, furnish, or make available to any third person, company, corporation or other organization (including but not limited to customers, competitors or government officials), except in the course of performing his duties as an Executive hereunder or with the Company's prior written consent, trade secrets or other confidential information concerning the Company, its subsidiaries or affiliates or the business of any of the foregoing, including without limitation, confidential methods of operation and organization and confidential sources of supply and customer lists, but Executive may make disclosures as required by applicable law or orders without prior written notice to the Company. For purposes of this Paragraph 8, information shall not be deemed confidential if it (i) is within the public domain, or (ii) becomes publicly known other than through disclosure by Executive in violation of this provision.
Confidentiality and Work Product. Executive agrees to execute and be bound by the terms and conditions of the Employee Agreement Regarding Confidentiality and Work Product attached hereto as Exhibit "A", which is acknowledged to have been effective since August 1, 1996, and is hereby made a part of this Agreement.
Confidentiality and Work Product. During the course of my employment, the Company has furnished or disclosed (or may furnish or disclose) to me certain Confidential Information related to its business. I also may invent, develop, produce, write or generate Confidential Information and Work Product which might be of great value to its competitors. I acknowledge that the continuing ability of the Company to engage successfully in its business and provide goods and services on a competitive basis depends, in part, upon maintenance of the secrecy of the Confidential Information and protection of its rights in Work Product.
Confidentiality and Work Product. 6.1 The Confidentiality Agreement (attached as Schedule A) is an integral part of this Employment Agreement and by signing the enclosed duplicate copy of this Agreement you agree to be bound by all the terms of the Confidentiality Agreement.

Confidentiality and Work Product. The Company considers the protection of its confidential information, proprietary materials and goodwill to be extremely important. Accordingly, you will be required to sign and return an agreement relating to confidentiality and work product on or before your first day of work, as a condition of this offer of employment (the “Proprietary Information and Invention Assignment Agreement”). A copy of this agreement is attached hereto as Exhibit B.
Confidentiality and Work Product. 1.During his employment with the Company, Executive has had and during the Term will continue to have access to proprietary information, trade secrets, and confidential material, in whatever form, of the Company and its successors and assigns, including information concerning the Company's operations, policies and procedures, present and future business plans, financial information, budgets and projections, methods of doing business, and marketing, research and development activities and strategies ("Confidential Information"). Executive shall maintain the confidentiality of the Confidential Information and refrain from divulging, disclosing, or otherwise using the Confidential Information to the detriment of the Company or its successors or assigns, or for any other purpose. Executive's obligation under this Section continues without limitation in time, or until the Confidential Information becomes public other than by Executive's unauthorized disclosure.
Confidentiality and Work Product. 7.1 Consultant recognizes that by reason of its performing the Services pursuant to this Agreement and the Accepted Order, Consultant will gain knowledge of and develop on behalf of Buyer information relating to and concerned with the past, present and future products, operations and plans of Buyer. Consultant covenants and agrees on behalf of itself and all employees and personnel under the control of Consultant to the following conditions:
