Confidentiality of Information Exchanged. (i) Subscriber acknowledges that all documents and information disclosed by Zoho under section 4.1, 4.2 and 4.3 and all interactions between the parties to the extent such interactions contain information about Zoho's systems and practices, including information observed or learnt by the auditor during audit and the draft and final reports ("Audit Information"), constitute Xxxx's confidential information. Subscriber understands that unauthorized access, use or disclosure of Audit Information may cause irreparable injury to Xxxx. Accordingly, Subscriber agrees to take, and to require the auditor engaged by Subscriber to take, reasonable measures to protect the confidentiality of the Audit Information from unauthorized access, use or disclosure. (ii) Subscriber may use the audit reports only for the purposes of meeting its regulatory audit requirements or confirming compliance with the requirements of this Data Processing Agreement by Zoho.

Confidentiality of Information Exchanged. The Parties shall hold any and all information provided to it by the other Party under this Agreement, including without exclusion a Party’s technology, inventions, designs, drawings, processes, recipes, formulae, data, technical information, operational materials and the like, which may be disclosed by on Party to the other Party or received under this Agreement (collectively “Confidential Information”), in the strictest confidence. Neither Party shall disclose any Confidential Information, unless permitted hereunder, to any third party without the prior written consent from the Party to which the Confidential Information belongs. No Party shall make any use of the other Party’s Confidential Information during or after the termination or expiration of this Agreement, except as expressly permitted herein. Each Party acknowledges and understands that the Confidential Information is secret and valuable to the other Party. To protect the secrecy of the Confidential Information, each Party shall: i. Limit access to all materials and physical items that document any of the Confidential Information, including documents, drawings, computer databases, electronic information, storage media, samples, and models solely to its employees, sales representatives and independent contractors who require such access to perform their duties under this Agreement; and ii. Make all such employees, sales representatives and independent contractors aware of such Party’s obligations of confidentiality under this Agreement.

  • Confidentiality of Information 8.1. By accessing this EHSAN AUCTIONEERS SDN. BHD. website, the E-Bidders acknowledge and agree that EHSAN AUCTIONEERS SDN. BHD. website may collect, retain, or disclose the E-Bidder’s information or any information by the e-bidders for the effectiveness of services, and the collected, retained or disclosed information shall comply with Personal Data Protection Act 2010 and any regulations, laws or rules applicable from time to time. 8.2. E-Bidders shall be responsible for the confidentiality and use of password and not to reveal the password to anyone at any time and under any circumstances, whether intentionally or unintentionally. 8.4. E-Bidders agree to comply with all the security measures related to safety of the password or generally in respect of the use of the service. 8.5. E-Bidders accept the responsibility that in any event that the password is in the possession of any other person whether intentionally or unintentionally, the E-Bidders shall take precautionary steps for the disclosure, discovery, or the Bidders shall immediately notify EHSAN AUCTIONEERS SDN. BHD.

  • Confidentiality of Vendor Data Vendor understands and agrees that by signing this Agreement, all Vendor Data is hereby released to TIPS, TIPS Members, and TIPS third-party administrators to effectuate Vendor’s TIPS Contract except as provided for herein. The Parties agree that Vendor Data is accessible by all TIPS Members as if submitted directly to that TIPS Member Customer for purchase consideration. If Vendor otherwise considers any portion of Vendor’s Data to be confidential and not subject to public disclosure pursuant to Chapter 552 Texas Gov’t Code (the “Public Information Act”) or other law(s) and orders, Vendor must have identified the claimed confidential materials through proper execution of the Confidentiality Claim Form which is required to be submitted as part of Vendor’s proposal resulting in this Agreement and incorporated by reference. The Confidentiality Claim Form included in Vendor’s proposal and incorporated herein by reference is the sole indicator of whether Vendor considers any Vendor Data confidential in the event TIPS receives a Public Information Request. If TIPS receives a request, any responsive documentation not deemed confidential by you in this manner will be automatically released. For Vendor Data deemed confidential by you in this manner, TIPS will follow procedures of controlling statute(s) regarding any claim of confidentiality and shall not be liable for any release of information required by law, including Attorney General determination and opinion. In the event that TIPS receives a written request for information pursuant to the Public Information Act that affects Vendor’s interest in any information or data furnished to TIPS by Vendor, and TIPS requests an opinion from the Attorney General, Vendor may, at its own option and expense, prepare comments and submit information directly to the Attorney General stating why the requested information is exempt from disclosure pursuant to the requirements of the Public Information Act. Vendor is solely responsible for submitting the memorandum brief and information to the Attorney General
