Consent to Jurisdiction; Forum Selection. At all times the Employee and Employer: (a) irrevocably submit to the exclusive jurisdiction of the Los Angeles Superior Court and United States District Court for the Central District of California, whichever may have competent subject matter jurisdiction, in any action or proceeding arising out of or relating to this Agreement, and irrevocably agree that all claims in respect of any such action or proceeding may be heard and determined in such court; (b) to the extent permitted by law, irrevocably consent to the service of any and all process in any such action or proceeding by the mailing of copies of such process to such party at the address set forth in this Agreement (or otherwise on record with the Employer); (c) to the extent permitted by law, irrevocably confirm that service of process out of such courts in such manner shall be deemed due service upon such party for the purposes of such action or proceeding; (d) to the extent permitted by law, irrevocably waives (i) any objection the Employee or Employer may have to the laying of venue of any such action or proceeding in any of such courts, or (ii) any claim that the Employee or Employer may have that any such action or proceeding has been brought in an inconvenient forum; and (e) to the extent permitted by law, irrevocably agrees that a final nonappealable judgment in any such action or proceeding shall be conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law. Nothing in this Section shall affect the right of any party hereto to serve legal process in any manner permitted by law.

The parties agree that all arbitrations, actions or proceedings arising in connection with this shall be tried and/or heard exclusively in the County of Los Angeles, State of California. The aforementioned choice of venue is intended by the parties to be mandatory and not permissive in nature, thereby precluding the possibility of arbitration or litigation between the parties with respect to or arising out of this Agreement in any jurisdiction other than those specified in this section. Each party hereby waives any right it may have to assert the doctrine of forum non conveniens or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this section, and stipulates that the County of Los Angeles, State of California shall have in personam jurisdiction and venue over each of them for the purpose of arbitrating or litigating any dispute, controversy or proceeding arising out of or related to this Agreement. Each party hereby authorizes and accepts service of process sufficient for personal jurisdiction in any action against it as contemplated by this section by registered or certified mail, return receipt requested, postage prepaid, to its address for the giving of notices as set forth in this Agreement, or in the manner set forth in Section 10.1 of this Agreement for the giving of notice. Any final judgment rendered against a party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law.

Any actions, suits or ---------------------------------------- proceedings instituted in connection with this Agreement or the performance by the parties of their obligations hereunder shall be instituted and maintained exclusively in the Superior Court for the State of California, County of Los Angeles or in the United States District Court for the Central District of California. By execution and delivery hereof, each party hereto hereby consents, for itself and in respect of its property, to the jurisdiction of the aforesaid courts solely for the purpose of adjudicating its rights or obligations under, or any disputes involving, this Agreement or any document related hereto. Each party hereto hereby irrevocably waives, to the extent permitted by applicable law, any objection, including, without limitation, any objection that the other corporate party or parties lack the capacity to xxx or defend based upon its or their lack of a certificate of qualification to conduct intrastate business in California, and any objection to the laying of venue or based on the grounds of forum non conveniens, which it may now or hereafter have ----- --- ---------- to the bringing of any action or proceeding in such jurisdiction in respect of this Agreement or any document related hereto.
Consent to Jurisdiction; Forum Selection. This Agreement, for all purposes, shall be construed in accordance with the laws of Texas without regard to conflicts of law principles. Any action or proceeding by either of the parties to enforce this Agreement shall be brought only in a state or federal court located in the state of Texas county of Xxxxxx. Nothing in this Section shall affect the right of any party hereto to serve legal process in any manner permitted by law.

Each party hereto hereby irrevocably submits to the jurisdiction of any New York state court or any Federal court located in the State of New York over any action or proceeding commenced or maintained by any other party to this Lease and arising out of or relating to this Lease or any other Operative Document or Acquisition Agreement to which it is a party, and each party hereto hereby irrevocably agrees that all claims in respect of such action or proceeding may be heard in such state or Federal court. Each party hereto hereby irrevocably waives any objection it may now have or hereafter acquire to the laying of venue of any such action or proceeding brought in any such court and any claim it may now or hereafter acquire that any such action or proceeding brought in any such court has been brought in an inconvenient forum. Each party hereto agrees that final judgment in any such action or proceeding brought in any such court shall be conclusive and binding upon such party hereto and may be enforced in any competent court located elsewhere. Each party hereto irrevocably consents to the service of the summons and complaint and any other process in any such action or proceeding by the mailing of copies of such process to such party hereto at its address referred to in Section 9.01 of the Participation Agreement by registered or certified mail, return receipt requested. Nothing in this Section 16.12 shall affect the right of any Person to serve legal process in any other manner permitted by law. Each party hereto further agrees that the Federal or state courts located in New York, New York, will have exclusive jurisdiction over any action which is either directly or indirectly related to the business relationship evidenced by this Lease. The parties further waive all question of personal jurisdiction or venue for the purposes of carrying out this Section 16.12.

You hereby waive any right you may have to assert the doctrine of forum non conveniens or similar doctrine or to object to venue with respect to any proceeding brought in accordance with this paragraph, and stipulate that the State and Federal courts located in the County of Mecklenburg, State of North Carolina shall have in personam jurisdiction and venue over you for the purpose of litigating any dispute, controversy, or proceeding arising out of or related to this Agreement. Any final judgment rendered against a party in any action or proceeding shall be conclusive as to the subject of such final judgment and may be enforced in other jurisdictions in any manner provided by law.

THE AFOREMENTIONED CHOICE OF VENUES IS INTENDED BY THE PARTIES TO BE MANDATORY AND NOT PERMISSIVE IN NATURE, THEREBY PRECLUDING THE POSSIBILITY OF LITIGATION BETWEEN THE PARTIES WITH RESPECT TO OR ARISING OUT OF THIS AGREEMENT IN ANY JURISDICTION OTHER THAN THOSE SPECIFIED IN THIS SECTION 12.7. EACH PARTY HEREBY WAIVES ANY RIGHT HE OR IT MAY HAVE TO ASSERT THE DOCTRINE OF FORUM NON-CONVENIENS OR SIMILAR DOCTRINE OR TO OBJECT TO VENUE WITH RESPECT TO ANY PROCEEDING BROUGHT IN ACCORDANCE WITH THIS SECTION 12.7, AND STIPULATES THAT THE AFOREMENTIONED COURTS SHALL HAVE IN PERSONAM JURISDICTION AND VENUE OVER SUCH PARTY FOR THE PURPOSE OF LITIGATING ANY DISPUTE, CONTROVERSY OR PROCEEDING ARISING OUT OF OR RELATED TO THIS AGREEMENT. EACH PARTY HEREBY AUTHORIZES AND ACCEPTS SERVICE OF PROCESS SUFFICIENT FOR PERSONAL JURISDICTION IN ANY ACTION AGAINST HE OR IT AS CONTEMPLATED BY THIS SECTION 12.7 BY REGISTERED OR CERTIFIED MAIL, RETURN RECEIPT REQUESTED, POSTAGE PREPAID, TO HIS OR ITS ADDRESS FOR THE GIVING OF NOTICES AS SET FORTH IN THIS AGREEMENT, OR IN THE MANNER SET FORTH IN SECTION 12.1 OF THIS AGREEMENT FOR THE GIVING OF NOTICE. ANY FINAL JUDGMENT RENDERED AGAINST A PARTY IN ANY ACTION OR PROCEEDING SHALL BE CONCLUSIVE AS TO THE SUBJECT OF SUCH FINAL JUDGMENT AND MAY BE ENFORCED IN OTHER JURISDICTIONS IN ANY MANNER PROVIDED BY LAW.

(a) Buyer hereby irrevocably (i) consents to the non-exclusive personal jurisdiction of the state and federal courts located in the City of Greensboro, North Carolina in any action, claim or other proceeding arising out of any dispute in connection with this Agreement or the transactions contemplated or consummated pursuant to this Agreement, and (ii) consents to the service of a summons and complaint and other process in any action, claim or proceeding brought by Seller arising out of any dispute in connection with this Agreement or the transactions contemplated or consummated pursuant to this Agreement in the manner set forth in Section 9.6 of this Agreement.
