Continuous Service Delivery. A. Contractor agrees that, in the event of a material breach by Contractor, Contractor will work with MVEMSA to ensure continuous and uninterrupted delivery of services that meet or exceed all performance standards under the Agreement, Contractor agrees that there is a public health and safety obligation to assist MVEMSA in every effort to ensure uninterrupted and continuous service delivery in the event of a material breach, even if Contractor disagrees with the determination of material breach.
Continuous Service Delivery. Contractor expressly contracts that, in the event of a Default by the Contractor under the Agreement, Contractor will work with the County to ensure continuous and uninterrupted delivery of services, regardless of the nature or causes underlying such breach. In order to protect the public and to assuring continuation of services, the Contractor will agree that, if necessary, the City may deliver the services and/or arrange for the delivery of services by another contractor. Further, Contractor will be required to agree that if notified by the City of termination due to Contractor’s default(s), the City will have the contractual right to execute an emergency takeover of the Contractor’s Dedicated Ambulances and equipment Contractor will be required to cooperate fully with such takeover and will challenge or appeal the matter only after such takeover has been completed. This cooperation will include allowing the City to directly operate Contractor’s Dedicated Ambulances for a period of up to twelve

B. Contractor agrees that there is a public health and safety obligation to assist Fire Chief in every effort to ensure uninterrupted and continuous service delivery in the event of a material breach, even if Contractor disagrees with the determination of material breach.
Continuous Service Delivery. Albany agrees that there is a public health and safety obligation to assist KPPCSD in every effort to ensure uninterrupted and continuous service delivery in the event of a material breach, even if Albany disagrees with the alleged determination of material breach. Accordingly, Albany will continue to provide services under this Agreement during any dispute resolution process. Additionally, in the event the Agreement is terminated for any reason, Albany shall cooperate with KPPCSD in its transition to a new service provider.
Continuous Service Delivery. City agrees that there is a public health and safety obligation to assist County in every effort to ensure uninterrupted and continuous service delivery in the event of a material breach, even if the City disagrees with the determination of material breach.

In the event of Material Breach by Contractor and termination of the Agreement by the County, Contractor will use its best efforts to assure continuous delivery of services required under this Agreement regardless of the underlying cause or consequence of such Material Breach. Contractor recognizes that there is a public health and safety obligation that requires the County to provide uninterrupted service delivery in the event of Material Breach, even if Contractor disagrees with the determination of Material Breach. Continuation of services may require the County to deliver the services as assisted by Contractor.
Continuous Service Delivery. Contractor expressly agrees that, in the event of a Material Breach or by Contractor or termination by County under this Agreement, Contractor will work with the LEMSA to ensure continuous and uninterrupted delivery of services, regardless of the nature or causes underlying such Material Breach or termination. Contractor agrees that there is a public health and safety obligation to assist LEMSA in every effort to ensure uninterrupted and continuous service delivery in the event of a Material Breach, even if Contractor disagrees with the determination of Material Breach or disputes the determination of Material Breach.
