Contract Material. The Parties and the Independent Certifier agree that the Independent Certifier does not and will not have any rights, including any Intellectual Property, in any Contract Material provided to the Independent Certifier or created or required to be created by either Party. As between the Parties and the Independent Certifier, all title and ownership, including all Intellectual Property, in and to the Contract Material created or required to be created by the Independent Certifier as part of, or for the purposes of performing the Certification Services, is hereby assigned jointly to the Parties on creation, or where such title, ownership and Intellectual Property cannot be assigned before creation of the Contract Material, it will be assigned to the Parties on creation. In addition, to the extent that copyright may subsist in such Contract Material so created by the Independent Certifier, the Independent Certifier hereby waives all past, present and future moral rights therein and the Independent Certifier shall ensure that any agent or employee of Independent Certifier shall have waived all such moral rights. The Parties acknowledge and agree that as between the Parties, title, ownership and other rights to the foregoing shall be governed by the Design Build Agreement. The Independent Certifier will do all such things and execute all such documents as reasonably requested by either of the Parties in order to confirm or perfect the assignment of Intellectual Property in the Contract Material referred to in Section L9.2 of this Independent Certifier Agreement.

Contract Material. Unless expressly specified otherwise in a SOW, all Contract Material developed by Oppizi in the course of providing the Services to Client are and shall remain the property of Oppizi. Client hereby immediately and irrevocably assigns and transfer to Oppizi, without further action, any and all rights, titled and interests Client may have in the Contract Material (including any moral rights any of Client’s personnel may have). To the extent any personnel of the Client have any moral rights in respect of any Contract Material, the Client agrees to procure and deliver to Oppizi such personnel’s moral right consent assignment to Oppizi.

The Project Agreement Parties acknowledge and agree that, as between themselves, title, ownership and other rights to the Contract Material shall be governed by the Project Agreement. (c) The Independent Certifier shall do or cause to be done all such things and execute and deliver or cause to be executed and delivered all such documents as reasonably requested by the Province in order to confirm or perfect the assignment of Intellectual Property in the Contract Material referred to in this Section and the waivers of moral rights in respect thereof. (d) The Independent Certifier represents, warrants and shall ensure that all Contract Materials created by or on behalf of it will be original and will not infringe the Intellectual Property Rights of any third party.
Contract Material. The title to and ownership of intellectual property (including copyright) in all Contract Material shall vest in the Council immediately upon its creation. The Contractor shall do all things necessary to perfect the vesting of the intellectual property rights attaching to the Contract Material in the Council. On the expiration or earlier termination of the Contract, the Contractor shall deliver all copies of the Contract Material (irrespective of the form in which such material has been copied, stored, written, recorded by any means whether electronic or encrypted) to the Council Liaison Officer. The Contractor shall not use the Contract Material for any purpose other than performance of the Services. Further, the Contractor shall take all reasonable steps to treat and keep such Contract Material as strictly confidential and shall ensure no unauthorised persons or any third party (including any member of the public) have access to any part of the Contract Material during or after the completion of the Services without the Council’s Consent. Except as required by law, the Contractor shall: treat and keep as strictly confidential all Contract Material in the possession of the Contractor and shall not disclose any of the Contract Material to any person ncluding, but not limited to, the media (other than the Specified Personnel and/or such other staff, contractors and sub-contractors the Contractor is utilising in order to provide the Services); and/or not make any statement or comment to the media nor issue any media release in relation to any matter concerning this Contract; without first obtaining the Council’s written consent. Any such application for disclosure must be sought from the Council Liaison Officer. Further, the Council may (in its sole and absolute discretion) impose such terms and conditions it deems appropriate in relation to the format and content of such disclosure and/or statement.

In addition, to the extent that copyright may subsist in such Contract Material so created by the Independent Engineer, the Independent Engineer hereby waives all past, present and future moral rights therein and shall ensure that any agent or employee of the Independent Engineer shall have waived all such moral rights. The PA Parties agree that as between the PA Parties, title, ownership and other rights to the Contract Material shall be governed by the Project Agreement. 14.9.3 The Independent Engineer shall do all such things and execute all such documents as may be reasonably requested by either of the PA Parties in order to confirm or perfect the assignment of any title or ownership rights in or to the Contract Material.
Contract Material. 8.1 Except as set out in this clause 6, all Intellectual Property in the Contract Material will vest in the Council on creation and the Consultant assigns all rights in that property to the Council. 8.2 The Consultant retains ownership of all intellectual property rights in material used in performing the Services created by the Consultant and existing at the date of this agreement ("Existing Intellectual Property"). 8.3 To the extent necessary for the ongoing use of the Contract Material, the Consultant grants to the Council a perpetual, irrevocable, non-exclusive, royalty free licence to use the Existing Intellectual Property. 8.4 The Consultant warrants that all material provided by it will not infringe the intellectual property rights of any other person. 8.5 The Consultant will promptly execute all documents and do all things the Council requests to confirm or perfect any of the rights in this clause 6. 8.6 On the expiration or earlier termination of this agreement, the Consultant shall deliver to the Council all Contract Material and, if necessary, transfer any Intellectual Property to the Council. 8.7 The Consultant shall ensure that the Contract Material is used, copied, supplied or reproduced only for the purposes of this agreement.
Contract Material. 22.1 Title to, and ownership of any intellectual property rights (including copyright) in all Contract Material will vest upon its creation in the Territory. 22.2 The VMO will ensure that: (1) the Contract Material is used only for the purpose of this Agreement; (2) the use of any Contract Material will not infringe the intellectual property rights of any third party; and (3) no fees, royalties or other payments are payable in respect of any third party rights as a result of the Territory’s (or any permitted user’s) use of any Contract Material. 22.3 For the purpose of clause 22.2, use (including used) includes supply, reproduce, publish, perform, communicate, adapt and copy. 22.4 On the expiration or earlier termination of this Agreement, the VMO will deliver to the Territory all Contract Material.
