Conveyance and Possession. 14.1 Conveyance of Assets On completion of the Closing, this Agreement ---------------------- shall, without further act or formality, operate as a transfer to the Purchaser of all Assets to be sold and purchased hereunder as the same shall be at the close of business on the Closing Date.
