Cooperation Following Termination. Following termination of Executive’s employment hereunder for any reason, Executive agrees to cooperate with Employer upon the request of Employer and to be reasonably available to Employer with respect to matters arising out of Executive’s services to Employer. Employer shall reimburse, or at Executive’s request, advance Executive for expenses reasonably incurred in connection with such matters.
Cooperation Following Termination. Following termination of employment of Employee’s employment hereunder for any reason, Employee agrees to reasonably cooperate with Employer upon the reasonable request of the Board and to be reasonably available to Employer with respect to matters arising out of Employee’s services to any member of the Employer Group. Employer shall reimburse, or at Employee’s request, advance Employee for expenses reasonably incurred in connection with such matters.
Cooperation Following Termination. Provided that he is fairly compensated for his time and reimbursed for his out-of-pocket expenses, the Employee agrees that, following notice of termination of his employment, (i) he will cooperate fully with the Company in all matters relating to the completion of his pending work on behalf of the Company and the orderly transition of such work to such other employees as the Company may designate; and (ii) he will cooperate with the Company as to any and all claims, controversies, disputes, or complaints over which he has any knowledge or that may relate to him or his employment relationship with the Company. Such cooperation includes, but is not limited to, providing the Company with all information known to him related to such claims, controversies, disputes, or complaints and appearing and giving testimony in any forum.
Cooperation Following Termination. Executive agrees that, following notice of termination of his/her employment with Company, he/she will cooperate fully with Company in all matters relating to the completion of her pending work on behalf of Company and the orderly transition of such work to such other officer as Company may designate. Executive further agrees that during and following the termination of his/her employment with Company, he will cooperate fully with Company as to any and all claims, controversies, disputes or complaints over which he has any knowledge other than his or her employment relationship with Company; provided, however, Executive will be reimbursed by Company for any out of pocket expenses incurred pursuant to his/her duties under this Section 5 and reasonably compensated for his/her time. Such cooperation includes, but is not limited to, providing Company with all information known to him/her related to such claims, controversies, disputes or complaints and appearing and giving testimony in any forum.
Cooperation Following Termination. Employee agrees that, following notice of termination of her employment until the date of her termination, she shall in good faith cooperate with the Company in all matters relating to the completion of her pending work on behalf of the Company and the orderly transition of such work to such other employees as the Company may designate. Employee further agrees that during and following the termination of her employment she shall in good faith cooperate with the Company as to any and all claims, controversies, disputes or complaints over which she has any knowledge or that may relate to her employment relationship with the Company; provided, however, that (a) Employee will be reimbursed by the Company for any out of pocket expenses incurred pursuant to her duties under this Section 7 and reasonably compensated for her time, and (b) Employee's obligation to cooperate under this Section 7 shall in no way preclude Employee from seeking to enforce her rights under this Agreement. Such cooperation includes, but is not limited to, providing the Company with all information known to her related to such claims, controversies, disputes or complaints and appearing and giving testimony in any forum.
Cooperation Following Termination. Beginning on the date of receipt of notice of termination for any reason by either party to this Agreement, Manager shall upon written request of Physicians Care, continue to provide services, equipment and supplies to Physicians Care in accordance with this Agreement for a reasonable period of time, sufficient to enable Physicians Care to engage another manager. During such period Manager shall be entitled to payment in accordance with this Agreement.
Cooperation Following Termination. Energy Manager shall, upon termination of this Agreement, cooperate with Owner and the Successor Energy Manager and comply with all reasonable requests thereof, including the execution of documents and other actions; provided, however, that in the event of a termination pursuant to Sections 10.2 or 10.3(a), (b) or (c), Owner shall bear any reasonable costs incurred by Energy Manager relating thereto.
Cooperation Following Termination. In the event of termination of this Agreement or any Schedule, NLCS agrees that it will cooperate to facilitate the smooth transition of services to an alternate or successor service provider, and to minimize disruption to Client, provided, however, NLCS shall be compensated for any reasonable labor charges and/or cash disbursements incurred and/or made in connection with NLCS’s activities in facilitating any transition of services and/or records, documents or data to a successor service provider.

Executive agrees that, following termination of his employment for any reason, he will cooperate fully with Company in all matters relating to the completion of his pending work on behalf of Company and the orderly transition of such work to such other employees or other persons as Company may designate. Executive further agrees that following termination of his employment he will cooperate fully with Company as to any and all claims, controversies, disputes, or complaints of which he has any knowledge or that may relate to him or his employment with Company, unless he is an adverse party or potentially an adverse party. Such cooperation includes but is not limited to providing Company with all information known to him related to such claims, controversies, disputes, or complaints and appearing and giving testimony in any forum.
Cooperation Following Termination. Executive agrees that, following termination of his employment for any reason (including without limitation the expiration of the Term), he will cooperate fully with Company in all matters relating to the completion of his pending work on behalf of Company and the orderly transition of such work to such other employees as Company may designate. Executive further agrees that following termination of his employment he will cooperate fully with Company as to any and all claims, controversies, disputes, or complaints of which he has any knowledge or that may relate to him or his employment with Company, unless he is an adverse party or potentially an adverse party. Company will pay Executive an hourly rate of $350 for reasonable time spent and reimburse Executive for any reasonable out-of-pocket expenses incurred, following his termination, pursuant to his duties under this Section 13. Such cooperation includes but is not limited to providing Company with all information known to him related to such claims, controversies, disputes, or complaints and appearing and giving testimony in any forum.
