Common use of Coordinating Committee Clause in Contracts

Coordinating Committee. (i) Within thirty (30) days after the date hereof, the Parties shall establish a coordinating committee (the “Coordinating Committee”) which shall consist of four (4) members, two (2) of which shall be appointed by Agilent and two (2) of which shall be appointed by Avago. Each Party, upon prior written notice to the other Party, may from time to time remove or replace any member appointed by such Party. So long as Agilent and Avago are the owners of the Lots (or Avago is the tenant under the Primary Tenancy Agreement (or any successor agreement)), this Coordinating Committee shall be the same one provided for under the Primary Parcel Tenancy Agreement. (ii) Except as the Parties may otherwise agree in writing, the Coordinating Committee shall have the power and the responsibility under this Agreement to: (A) act as a forum for the liaison between the Parties with respect to the day-to-day implementation of this Agreement; (B) subject to Section 12(b), seek to resolve disputes; and (C) undertake such other functions as the Parties may agree in writing.
